RCW / WAC Description 66.28.285; 66.28.285: Providing/Accepting Exclusive or Contingency Agreements -- The definitions in this section apply throughout RCW 66.28.280 through 66.28.315 unless the context clearly requires otherwise. (1) "Adverse impact on public health and safety" means that an existing or proposed practice or occurrence has resulted or is more likely than not to result in alcohol being made significantly more attractive or available to minors than would otherwise be the case or has resulted or is more likely than not to result in overconsumption, consumption by minors, or other harmful or abusive forms of consumption. (2) "Affiliate" means any one of two or more persons if one of those persons has actual or legal control, directly or indirectly, whether by stock ownership or otherwise, of the other person or persons and any one of two or more persons subject to common control, actual or legal, directly or indirectly, whether by stock ownership or otherwise. (3) "Industry member" means a licensed manufacturer, producer, supplier, importer, wholesaler, distributor, authorized representative, certificate of approval holder, warehouse, and any affiliates, subsidiaries, officers, directors, partners, agents, employees, and representatives of any industry member. "Industry member" does not include the board or any of the board's employees. (4) "Person" means any individual, partnership, joint stock company, business trust, association, corporation, or other form of business enterprise, including a receiver, trustee, or liquidating agent and includes any officer or employee of a retailer or industry member. (5) "Retailer" means the holder of a license issued by the board to allow for the sale of alcoholic beverages to consumers for consumption on or off premises and any of the retailer's agents, officers, directors, shareholders, partners, or employees. "Retailer" does not include the board or any of the board's employees. (6) "Undue influence" means one retailer or industry member directly or indirectly influencing the purchasing, marketing, or sales decisions of another retailer or industry member by any agreement written or unwritten or any other business practices or arrangements such as but not limited to the following: (a) Any form of coercion between industry members and retailers or between retailers and industry members through acts or threats of physical or economic harm, including threat of loss of supply or threat of curtailment of purchase; (b) A retailer on an involuntary basis purchasing less than it would have of another industry member's product; (c) Purchases made by a retailer or industry member as a prerequisite for purchase of other items; (d) A retailer purchasing a specific or minimum quantity or type of a product or products from an industry member; (e) An industry member requiring a retailer to take and dispose of a certain product type or quota of the industry member's products; (f) A retailer having a continuing obligation to purchase or otherwise promote or display an industry member's product; (g) An industry member having a continuing obligation to sell a product to a retailer; (h) A retailer having a commitment not to terminate its relationship with an industry member with respect to purchase of the industry member's products or an industry member having a commitment not to terminate its relationship with a retailer with respect to the sale of a particular product or products; (i) An industry member being involved in the day-to-day operations of a retailer or a retailer being involved in the day-to-day operations of an industry member in a manner that violates the provisions of this section; (j) Discriminatory pricing practices as prohibited by law or other practices that are discriminatory in that product is not offered to all retailers in the local market on the same terms.

Summary This investigation was initiated due to complaints received. The complaints alleged undue influence by Anheuser-Busch (AB) over the two Showbox venues located in Seattle. It was also alleged that in order to allow non- AB beer brands for service at a private event held at the Showbox SoDo, AB would have to approve it and extra payment would be required from the renters. Both Showbox venues are operated by Anschutz Entertainment Group – AEG Live NW (AEG) Anheuser-Busch is a licensed industry member with privileges of beer and wine Certificate of Approval and Authorized Rep for foreign beer; liquor license #352200. AB also operates an affiliated beer/wine distributor license within WA State that supplies the Seattle area, including the Showbox venues. The distributor license is #409847. Showbox SoDo is a concert venue located at 1700 First Ave S., Seattle WA 98134 operated by AEG Live NW (AEG). Wolfgang Puck Catering (WPC) is the retail liquor licensed nightclub for this venue; liquor license #085774. The Showbox is an entertainment venue located at 1426 First Ave, Seattle WA 98101 operated by AEG Live NW (AEG). Wolfgang Puck Catering (WPC) is the retail liquor licensed nightclub for this venue; liquor license #076475. The investigation found arrangements between AB and AEG resulted in undue influence over the operations of WPC retailer. Officers found an exclusive sponsorship agreement between AB and AEG for events held at the Showboxes and an exclusive liquor catering agreement between AEG and WPC. WPC catered liquor at the Showbox venues under conditions outlined by AEG. AEG events and advertising were conducted under conditions outlined by AB to include the display of AB logo signage at the retail liquor licensed premises. During physical inspections, officers found beer products offered for sale at the Showbox venues were either AB liquor manufactured, owned, represented or distributed brands. Per RCW 66.28.286 (6) "Undue influence" means one retailer or industry member directly or indirectly influencing the purchasing, marketing, or sales decisions of another retailer or industry member by any agreement written or unwritten or any other business practices or arrangements. Per RCW 66.28.305, except under 66.28.310 no industry member shall advance and no retailer shall receive moneys or moneys' worth under an agreement written or unwritten or by means of any other business practice or arrangement.

Investigation On 05/05/15 Sgt. John Wilson made an entry in the electronic notebook reference an e-mail contact made with Showbox SoDo manager Jessica Hauflaire regarding minors. According to Sgt. Wilson during this contact Hauflaire indicated they had a “beer sponsorship” with Anheuser- Busch. She stated that they don’t actually have a liquor license because they are owned by another company. On 09/08/15 I posed as a potential patron and sent a request through the Showbox web site using my G-mail account name and address. I requested information on renting one of the Showbox venues for a private party. I received a reply dated 09/09/15 from Jessica Hauflaire who listed her title as; Special Events Sales & Marketing Coordinator, AEG Live/Showbox at the Market/SoDo. I had correspondence with Ms. Hauflaire about rental terms. I asked if there was food and alcohol service available for the party or if we had to hire my own. She indicated they had a preferred caterer or I could use my own with a “buyout” fee. I requested a rental agreement form for review. Ms. Hauflaire stated she did not have a standard rental agreement with the details I was requesting as each event was custom. On10/03/15 about 1848 hours Officer K. Seltzer and I entered The Showbox lounge and posed as patrons. Officer G. Otteman remained outside. The bar area near the front was full so we went to the back room. When the waitress came to take our order we asked what beers were available. She named several brands. I ordered 10 Barrel Sinistor (“S1nistor”) which she said was from Oregon. Officer Seltzer ordered Ginger Ale and mozzarella sticks and we were served our order. We later moved to the bar counter and observed a chalk board listing brands carried, all were AB brands; Draft 1. 2. 3. 4. 5. 6. 7.

I took photos of the beer taps, all AB brands. I told the Bartender I thought there was an event at the Sodo Showbox. She said there was but it was canceled. I asked if Jessica was there, she said no. I asked if anyone was there who could provide information on rentals. She said she would check and later told me there wasn’t anyone there. We left at about 2023 hours. On 10/06/15 I had G-mail correspondence with Ms. Hauflaire and set up an appointment with her to view the Showbox SoDo location reference private party rental. On 10/08/15 at about 0932 hours officer Seltzer and I went to the Showbox SoDo and posed as patrons. We met with Jessica Hauflaire who showed us the venue. We walked through the ground level room then into the upper level lounge. The lounge had a full bar set up with multiple beer taps AB brands; 1. Stella 2. Red Hook 3. Widmere 4. Guiness 5. I also observed AB supplied bottled beer brands. I saw one large Budweiser neon sign on the wall. We asked Hauflaire questions about renting the lounge for a private party. She said they had a preferred caterer at $20 per person or we could use our own if we did a “buy out”. I asked who was the caterer. She said Wolfgang Puck Catering. I asked if we needed a permit and she said no. I saw no Miller/Coors beer brands. Officer Seltzer and I asked about beer. Hauflaire said; this is what they had. We asked if they had Coors and she said no. We said we wanted to have Coors Light beer and asked if we could get it. Hauflaire shook her head ‘no’ and said they had an agreement with Anheuser-Busch. We discussed dates for the private party and Hauflaire looked up dates. Hauflaire also gave me the name and contact info for Wolfgang Puck; [email protected]. During our discussion Hauflaire indicated that the liquor stock that was there (on the premises) belonged to Wolfgang Puck. On 11/20/15 Officer G. Otteman provided me with a copy of a sponsorship agreement he had obtained from AB between AB and AEG Live NW covering the Marymoor Park entertainment venue located in Redmond, WA. This contract also covered both The Showbox, and the Showbox SoDo. The agreement was dated April 5, 2015 and covered the period March 1, 2015 – December 31, 2016. Sponsorship Agreement - AB and AEG Summary; 1. Exclusivity a. AB is Official Beer Sponsor and exclusive malt beverage sponsor for all concerts/events open to the public operated by AEG or a third party. AB is exclusive title sponsor of all concerts at the SoDo. b. AEG may not allow any public promotion of any other beer supplier/distributor at events, private or otherwise held at the venues unless the performing artist has a national beer sponsor. 2. Advertising a. Bud Light name and logo depicted on each venue’s official website with link to AB’s website and will appear in all paid venue advertising. b. AB may create POS and calendar of events featuring venue logos. c. SoDo concerts must be promoted and titled as “The Bud Light Concert Series”. 3. Number of Concerts a. AEG must hold a minimum number of concerts each year at venues; 1. The Showbox - 150 2. Showbox SoDo - 70 3. Marymoor Park - 12 b. Events with artists who are sponsored by another beer company or refuse AB’s sponsorship for any reason shall not count towards the minimum obligation. 4. Signage a. Normally the Bud Light logo shall be displayed on SoDo video screens and at Showbox main bar, and area at the third venue. Additional signs for every concert will be displayed with an effort to use all signage at all private events. AB may display signs within each venue. 5. Tickets a. AB allotted tickets to all concerts at venues and VIP areas, intended to include a reserved seating area. b. No advertising of any other beer brand allowed on tickets unless performing artist has national sponsor. 6. Meetings/Special Events a. AB has exclusive right to rent-free use of venues for meetings and private events. AEG is to provide regular staffing to include security, concession and production state paid by AB at same rates as concerts. 7. Merchandising a. Where legal, AB will provide venues AB-logoed /co-branded merchandise including coaster, cups, and napkins.

8. Sponsorship Fee a. AB pays AEG for sponsorship for The Showbox, SoDo and Marymoor (another retailer not associated with WPC) b. If the minimum obligation is not met the term shall be extended until obligation is satisfied. c. AB remains exclusive malt beverage sponsor of venues until obligation is satisfied. 9. Warranties a. No requirement of any retail licensee to purchase any liquor produced or offered by AB. b. AB purchase rights does not require any retailer to purchase AB brands. c. AB does not agree, expect or intend to induce the purchase of its brands. d. AB has no agreement with any liquor retailer related to this agreement. 10. Right of First Refusal a. At end of the agreement if AEG intends to sell beer sponsorship AB has first right of refusal. On 11/06/15 I contacted Esmeralda Reyes at WPC Corporate, Los Angeles, CA. I advised a complaint was received regarding liquor suppliers and large venues including the Showboxes licensed under WPC. I said I would send her a letter authorizing records inspection pertaining to agreements with liquor suppliers. Ms. Reyes said they had no such agreements (with liquor suppliers) as it would not be legal. I subsequently e-mailed Ms. Reyes two letters dated 11/05/15 requesting copies of license/sponsorship/operating/Advertising/Catering contracts and agreements with liquor industry members, AEG and The Showbox. On 12/14/15 I received a copy of a license agreement from Ms. Reyes. The agreement was between AEG and WPC dated January 14, 2011 and covered the period; January 3, 2011 – January 3, 2016. License Agreement - AEG and WPC Summary; 1. Rights a. WPC has exclusive food, beverage, and liquor service. b. WPC shall operate during hours as may be required to adequately meet public demand. c. WPC shall not operate any business other than food, beverage, and liquor service unless approved by AEG. d. WPC may not conduct off-site or subcontracted sales without AEB approval. 2. License Fee a. WPC pays AEG an annual fee. 3. Special Events – (third party private events) a. WPC has exclusive right to third party catering but may subcontract food catering. If a third party food caterer is used, WPC must notify AEG. b. If third party food caterer is used WPC receives a commission of 10% of total food catering cost paid by the organizers to their outside caterer. (Pay 10% to use outside caterer). c. WPC retains exclusive right to liquor service at third party special events. d. AEG agrees to pay all WPC invoices for special event catering services within 10 days of invoice date. 4. Sales; Liquor Service, Food a. WPC shall furnish high quality food and beverages to employees, guests, patrons and visitors at the venue and maintain a standard of service and quality as similar facilities. b. WPC shall not offer an exclusive arrangement or sponsorship to any food or n/a beverage supplier without AEG consent. c. WPC shall not offer exclusive arrangements or sponsorships with respect to liquor sales. d. AEG and WPC meet annually to obtain AEG reasonable approval of general price ranges on all items sold by WPC. WPC has final approval on liquor sale pricing. e. WPC may prohibit or restrict sales of liquor at specific events geared toward minors and specify a cut-off time for liquor sales.

5. Licenses a. WPC must acquire and maintain liquor license. Failure to obtain license is a breech and may terminate the agreement. b. Occasional temporary suspension of liquor license not deemed breech of agreement. c. WPC must supply AEG with copies of notices, complaints received from liquor authorities. 6. Use of Venue Name a. WPC shall not use venue name or pictorial without AEG consent. b. WPC name may not be used in a manner not approved by AEG. I contacted Ms. Reyes and requested copies of all beer purchase invoices for the period January 1 through June 30, 2015. On 01/07/16 I received copies of WPC beer purchase as requested. These invoices were all from the Seattle area AB distributor; AB Sales of Washington Inc., address; 3215 Lind Ave SW, Renton WA 98057, liquor license #409847. I found 25 invoices for The Showbox dated 1/2 through 6/10/15. I found 16 invoices for Showbox SoDo dated 1/14 through 6/10/15. On 01/15/16 I received copies of WPC beer purchase invoices from Columbia Distributing. Columbia Distributing is not an AB distributor. Columbia Distributing distributes competing brands. I found 13 invoices for The Showbox dated 01/13 through 06/30/15. I found six invoices for the Showbox Sodo dated 1/14 through 4/29/15. Brands listed were; Guinness, Deschutes, Georgetown, Strongbow, Mike’s Hard Lemonade, Angry Orchard. I had observed none of these brands offered for sale during my physical inspections at both Showboxes.
