Charles Snell, president, called the meeting to order at 1:07 PM, and a quorum was established. Owners’ Opportunity to Speak Each owner spoke briefly. Roy asked about the status of his reimbursement request. Snell had sent a letter, but it was sent to an address Roy usually doesn’t check. Snell said he would send the letter via email at the end of the meeting. Approval of Minutes The minutes from the March 21, 2011 meeting were approved as written. Fire Alarm System The Managing Agent is waiting for a final quote and is looking at different options. The old system is no longer usable (motherboard is ‘shot’ and it’s difficult to find parts because of its age). Judy is looking into combining the alarm system with the monitoring. The cost will be in the $3500 range. Ownership and Mortgagee Information Discussion: Presently, according to the Bylaws, owners must notify the Board of changes in ownership and mortgagee information. This policy Motion: Made by Laurie Pate A resolution concerning ownership and mortgagee information, stating the specific information needed, as well as the procedure to follow, will become part of the official policies of the Association. (Official policy copied below.) Vote: Yes Unanimous Review of Audit We will have the final audit from the auditor by the Annual Membership Meeting in June. Judy perceives no issues. Proposed Bylaws and Declaration Amendments The final versions of proposed amendments and supporting charts and explanations have been sent to Board members, all of whom have expressed satisfaction with them. Judy will work with the secretary to be sure the correct files are sent to the owners. Dwayne said the owners need to get them as soon as possible in order to have time to look over them before the Membership Meeting. Charlie thanked Judy for all the time and tedious effort involved in tackling this problem. Miscellaneous Policies: Judy, as Managing Agent, is working on getting the Board’s policies posted so that owners will have easy access to them. The Board discussed adding item #9 back to the Delinquent Homeowners’ Dues policy. Motion: Made by Charles Snell Add Item #9: The sending of monthly dues invoices from the Association to an owner is provided only as a convenience. The failure or delay of the Association to send monthly invoices shall not constitute a waiver or release in any way of the owner's obligation to pay assessments as herein provided.

Vote: Yes Unanimous (Complete policy copied below.) Dues Projection The president asked the Managing Agent to give a projection of next year’s dues. Judy said that she hasn’t completed the budget, but we should be able to lower the dues to the $240-250 range. Charlie and Laurie both commented that they thought that this year’s management had made this possible and thanked Judy for making a big difference, both financially and otherwise. Winterhaven Unit Owners' Association Policy Resolution Delinquent Home Owner's Dues WHEREAS, section 3.1 of the Bylaws of the Winterhaven Unit Owners Association (the “Association”) states that the Board of Directors shall have all of the powers and duties necessary for the administration of the affairs of the Association; WHEREAS, section 3.1 of the Bylaws empowers the Board to adopt rules and regulations deemed necessary for the benefit and enjoyment of the Condominium; WHEREAS, the Board deems it necessary to amend a policy approved by the Board on Dec 6, 2010 regarding delinquent homeowner's dues; NOW, THEREFORE, BE IT RESOLVED THAT the Board, by the Uniform Common Interest Ownership Act (Chapter 36B, West Virginia Code), the Association Bylaws and Declaration, and this resolution hereby duly adopts the following policies, which shall replace and supersede previous policies, with respect to delinquent homeowner's dues: 1. Assessments are due on the first of each month. 2. A late fee of $25.00 will be assessed if payment is not received on or by the 10th of the month, or the first business day thereafter. Postmarks will not be considered. 3. An email notice of Intent to Lien will be sent to owners more than 30 days delinquent. 4. A certified mail notice of Intent to Lien will be sent to owners more than 45 days delinquent and a $15.00 additional late fee will be assessed against the owner. 5. A condominium lien will be recorded against any unit owner more than 60 days late and the cost of recordation shall be assessed against any unit owner found to be delinquent in a subsequent proceeding to enforce the lien. 6. The remaining assessments to the end of the fiscal year will be accelerated for all delinquencies of more than 3 months. 7. Lien foreclosure will be directed for delinquencies of more than 3 months.

8. After institution of lien foreclosure action, all payment plans or settlements will require board approval. 9. The sending of monthly dues invoices from the Association to an owner is provided only as a convenience. The failure or delay of the Association to send monthly invoices shall not constitute a waiver or release in any way of the owner's obligation to pay assessments as herein provided.

Winterhaven Unit Owners' Association Policy Resolution Ownership and Mortgagee Information WHEREAS, section 3.1 of the Bylaws of the Winterhaven Unit Owners Association (the “Association”) states that the Board of Directors shall have all of the powers and duties necessary for the administration of the affairs of the Association; WHEREAS, section 3.1 of the Bylaws empowers the Board to adopt rules and regulations deemed necessary for the benefit and enjoyment of the Condominium; WHEREAS, section 8.01 of the Bylaws requires each Unit Owner who mortgages his Unit to notify the Executive Board; WHEREAS, the Board deems it necessary to establish a policy for obtaining and maintaining Ownership and Mortgagee information; NOW, THEREFORE, BE IT RESOLVED THAT the Board, by the Uniform Common Interest Ownership Act (Chapter 36B, West Virginia Code), the Association Bylaws and Declaration, and this resolution hereby duly adopts the following policies with respect to ownership and mortgagee information: 1. It is the responsibility of each Owner to provide the following information to the Association or Managing Agent: a) Names and contact information of all owners on the deed b) Name and contact information of lender if there is a mortgage on the Unit 2. If there is more than one owner of a Unit, then the Association shall send notices to all owners unless an owner requests otherwise. 3. If a Unit is being sold, then the Owner shall provide the Association with the following information no less than10 days before the sale: a) Name and contact information of purchaser(s) b) Name and contact information of closing attorney
