The following will render this Limited Warranty inapplicable, or null and void and of no further force or effect:

GENERAL

Subject to the exclusions contained below, Canadian Solar Inc. (“Canadian Solar”) warrants to the original buyer (the “Buyer”) that all new CSI-KTL Series inverter products (the “Products”) conform to applicable codes and standards and shall be free from defects in materials and workmanship that have an effect on Product functionality under normal application, installation, use and service conditions as specified in Canadian Solar’s standard installation and operation manuals relevant to the Product (the “Product documentation”) and in this warranty for a period of ten (10) years, beginning on the date of installation or thirty (30) days after delivery of the Product from Canadian Solar, whichever is earlier (the “Limited Warranty”). Canadian Solar warrants that the Product will maintain the mechanical integrity and stability when used in accordance with approved operation methods described in the Product documentation. 2.

SCOPE OF WARRANTY



This Limited Warranty covers only new Products installed in North America. In the event of a valid warranty claim, Canadian Solar will, in its sole discretion, either repair the Product, replace the Product with a product of the same type (or equivalent type if the same type is not then available), or refund the appropriate residual market value of the Product, at no cost to the Buyer (other than the costs of removing and shipping defective Products to Canadian Solar, which shall be the Buyer’s sole cost and expense, and any other costs described herein). If the unit is replaced, the Buyer agrees to utilize the return material authorization policy in place at the time of replacement. Canadian Solar warrants that any repaired or replaced Product will be free from defects in material and workmanship for the remainder of the original Product warranty period. The terms of this Limited Warranty shall apply to any extension hereof for the applicable extension period.









WARRANTY TERMINATION AND EXCEPTIONS

Misuse and/or improper use, negligence, improper installation, physical damage or alteration, either internally or externally, use in an unsuitable environment for the Product, including any environment or location that causes excessive wear and tear or debris buildup within the Product; Where repairs have been performed on the Product other than by an authorized service partner of Canadian Solar; Where the Product has not been paid for in full by the Buyer in accordance with required payment terms; Where the Product is located outside of North America or located at a site different from that indicated on the Commissioning Test Record , in the Product registration, or the Product’s original place of installation; Where the Product is used as a component part of another product expressly warranted by another manufacturer; and Any modification or removal of marks, reverse engineering or alteration of the original Product and of its original identification and serial number.

The following are not included within the scope or application of this Limited Warranty:  

      

Damage caused by fire, water, rust or other corrosion, biological infestations, or any animals or insects; Damage caused by improper installation, operation or maintenance not performed in accordance with the Product documentation or any local, provincial, state or federal codes and requirements; Third party component parts or monitoring systems; Damage from shipping or transportation; Material or workmanship not provided by Canadian Solar or its approved service providers; Replaceable service items, including fuses and filters; Any costs incurred by the Buyer or installer for troubleshooting, installation, removal of the Product; Damage caused by force majeure, including but not limited to flood, fire, earthquakes and lightning; and Damage caused by external events such as high input voltage from generators and electrical grid events outside the specifications of the Product, including but not limited to harmonics, voltage transients, flickering and frequency events. 1|2

In addition, this Limited Warranty does not include a warranty of uninterrupted or error-free operation of the Product, or warranties against normal wear and tear of the Product or costs related to the removal, installation, or troubleshooting of electrical systems. 4.

SOME JURISDICTIONS LIMIT OR DO NOT PERMIT DISCLAIMERS OF WARRANTY, SO THIS PROVISION OR PARTS HEREOF MAY NOT APPLY TO THE BUYER.

CONDITIONS

Any warranty claim is subject to (i) the receipt by Canadian Solar of proof of purchase and (ii) the Product having been commissioned by an authorized installer and (iii) the completion and return of a Commissioning Test Record as described in the Product documentation. Claims under the Limited Warranty can only be accepted if the Buyer can provide proof that the malfunctioning or nonconformity results exclusively from defects in materials and/or workmanship under normal application, installation, use and service conditions specified in the Product documentation. 5.

MISCELLANEOUS

CANADIAN SOLAR’S LIABILITY FOR ANY DAMAGES AND LOSSES IS LIMITED TO AND SHALL NOT EXCEED THE PURCHASE PRICE OF THE ORIGINAL PRODUCT AND EXCLUDES INDIRECT AND CONSEQUENTIAL LOSSES (INCLUDING WITHOUT LIMITATION LOST REVENUE AND PROFITS) AS WELL AS PUNITIVE AND SPECIAL DAMAGES. IN THE EVENT OF ANY DISCREPENCY BETWEEN ANY OTHER APPLICABLE AGREEMENT, WARRANTY, GUARANTEE OR AFTER-SALES PROVISIONS AND THIS LIMITED WARRANTY, THIS LIMITED WARRANTY SHALL PREVAIL. THE RIGHT OF MODIFICATION AND INTERPRETATION OF THIS LIMITED WARRANTY IS RESERVED BY CANADIAN SOLAR.
