BY-LAWS OF THE COWTOWN BOWMEN ARTICLE I - NAME AND ORGANIZATION The name of this organization shall be COWTOWN BOWMEN, and the organization shall be conducted in accordance with arid governed by the Texas Non-Profit Corporation Act, the organization ’S Articles of Incorporation arid these ByLaws. We will not endorse or oppose any candidate for public office, nor will we attempt to influence any legislation. ARTICLE II - PURPOSE Mission Statement — Cowtown Bowmen is a volunteer-run non-profit association dedicated to educating the future archers of Texas. Cowtown Bowmen is more than an archery club or just an organization; we are a family-oriented group with strong family values. Cowtown Bowmen is active in many community volunteer projects that allow us to introduce archery and the outdoors to everyone in the community. Our members are eager to volunteer to help educate children about archery and we have been called upon on numerous occasions to help many agencies, such as Texas parks & Wildlife, to facilitate in putting on events to promote archery and the outdoors for families and their children. Our sponsors and other members of the community are gracious to donate equipment and funds to help us achieve a successful adventure for the whole family in the sport of archery. Vision Statement — Cowtown Bowmen’s vision has always been to introduce everyone to the sport of archery and the outdoors. Cowtown Bowmen also recognizes the importance of family participation and encourages not only the kid’s involvement in archery, but the family as a whole. ARTICLE III - FISCAL YEAR This fiscal year of the organization shall begin the first day of January. Budgetary year is from Sept 1st thru August 31st as this is when we close the books for fax purposes. ARTICLE IV - MEMBERSHIP A. There shall be two classes of members: Adult and Youth. Adult membership shall be granted to anyone who has attained his eighteenth birthday, upon application for membership. An adult member shall have full voting privileges. Youth membership shall be granted to anyone who is under the age of eighteen and in an unmarried status, upon application for membership. A youth member shall have voting privileges at the age of 13. B. Temporary membership may be granted to any person upon application for temporary membership, and approved by the membership. Temporary membership may be granted only to persons having a limited time in the local area. Temporary membership will have no voting privileges. C. Any adult or youth member may be suspended or expelled for just cause upon recommendation of the Board of Directors to the membership and upon approval of such recommendation by a simple majority of the members present, provided that in the case of a suspension for a period of 20 days’ duration or more and all expulsions the following procedures have been followed: Notice of the charges and date and place of membership meeting at which the vote is to be taken was given to the number or members against whom the charges have been brought, by email, personal phone call by Board Member or registered mail a minimum of fifteen (15) days before the meeting. Special notice of the meeting and the fact that a suspension and/or expulsion is to be discussed was given to all members by email, personal phone call by Board Member, or regular mail a minimum of ten (10) days prior to the meeting at which the vote is to be taken

A minimum of thirty (30) minutes was allowed each member against whom charges were made to present a defense against the charges. All votes for suspension and/or expulsion shall be taken by secret ballot. D. There shall be two types of memberships: Individual and Family. An individual membership shall consist of either one adult member, or one youth member. A family membership shall consist of two or more members of an immediate family living under the same roof. Immediate family is defined as parents and/or unmarried children, under the age of eighteen years. Children over eighteen years of age living under the same roof and enrolled in school may be included in the family membership. ARTICLE V - HONORARY MEMBERSHIP A. Honorary membership, to include voting privileges, may be granted by the Board of Directors to any individual who has contributed to the advancement of Cowtown Bowmen, or to the advancement of archery in general. A suitable award and a club membership card with the inscription “Honorary Member” may be presented to such person. B. A Life membership may be granted by the Board of Directors to any individual who has contributed to the advancement of Cowtown Bowmen, or to the advancement of archery in general. A suitable award and a club membership card with the inscription “Life Member” may be presented to such person. ARTICLE VI- OFFICERS A. The officers of this organization shall consist of a President. First Vice-President, Secretary/Second Vice President and a Treasurer. B. The President shall: 1. Integrate, aid and assist the Board of Directors to assure all activities are coordinated as outlined in the Organization’s By-Laws and as directed by the Board of Directors and membership. 2. Seek out future activities and opportunities to assure the growth, security, character and integrity of the Organization, and present this information to the Organization’s membership. 3. Preside at all meetings, appoint all committees and shall in general perform the duties incident to the office. C. The First Vice-President shall: 1. Perform the duties of the President if the President is unable to act. 2. Assist the President with the President's duties and in general perform the duties incident to the office. D. The Secretary/Second Vice President shall: 1. Keep all records of the organization, i.e. lease, insurance, original membership, archery affiliation memberships for the Club and board members, etc., serve all notices of meetings, conduct all correspondence, and in general perform all duties incident to the office. 2. Perform the duties of the First Vice-President if the First Vice-President is unable to act. 3. Keep a current membership list, including addresses and telephone numbers, and make an updated and current copy available to club members at all times.

E. The Treasurer shall: 1. Receive all moneys of the organization, keep accurate records of the receipt and disbursements, and distribute a written report al each meeting showing a beginning balance, monthly income and expenditures, and an ending balance, to be accompanied by a photocopy of the most recent bank statement if requested. 2. Be responsible for the timely filing of the organization’s federal, state and local tax returns, and for the timely payment, out of the organization’s funds, of any taxes owed by the organization.

ARTICLE VII - BOARD OF DIRECTORS A. The Board of Directors shall consist of the following elected officers and directors: the President, First Vice-President, Secretary/Second Vice President, Treasurer, four (4) Range Captain, Membership/Public Relations Chairman, Editor, Traditional Director, Event Shoot Director, Club Shoot Director, Field Archery Director and Web Master. In addition, the Shoot Directors [Event, Traditional, Field and Club Shoot), the four (4) Range Captain shall each have the power to appoint one (1) assistant to serve on the Board of Directors as a nonvoting member. Appointed board members must be confirmed by a majority vote of the elected board members before taking office. Appointed board members shall be exempt from removal under Section F of this Article, but may be removed as otherwise provided in this Article, or by the vote of a two-thirds majority of the elected members of the board of directors. B. The Board of Directors shall manage all activities, policies and property of this organization, as directed by the membership of this club. C. At any meeting of the Board of Directors, a simple majority shall constitute a quorum. President may table discussions for expenditures or proposals for club projects for further review and discussion. D. Any vacancies on the Board of Directors shall be filled by appointment by the Board, subject to the approval of the membership. The new board member shall serve to complete the unexpired term of the board member he/she has replaced. E. The Board of Directors shall meet at least once each month at a place fixed by the board members. F. Any member of the Board of Directors who misses a regularly scheduled meeting arid is not present 15 minutes after the regularly scheduled start time of the next meeting of the Board, without just or exceptional cause made known to the board in advance, shall immediately, without exception, and without notice, and without any action required by board members present, be automatically removed from the board, and a vacancy will exist. The board will be constituted with one less member until a new board member is appointed and approved, with board approval. It shall be the responsibility of the ranking officer present at the meeting to notify the officer who is removed of his removal from office as soon as possible following the meeting. As soon as a replacement can be found, replacement will be made in the manner contained in Paragraph D, above, of this Article, the intention being that the club will be represented by officers who are both willing and able to serve and are available to constitute needed quorums to do business. G. Any member of the Board of Directors may be expelled from his office by a two- thirds majority of membership on a signed petition. H. If at least one member of the old board is not retained on the board, the ranking ex-official will assist the new board. Ranking ex-official is defined, in descending order, as President, Vice-President, Secretary/Second Vice President, Treasurer, Membership/Public Relations Chairman, Club Shoot Director, Event Shoot Director, Traditional Shoot Director, Field Shoot Director, Editor and Webmaster.

I. All Officer and Board positions also require a minimum of (100) volunteer hours to be completed in their term of position. If officer or board member does not meet this requirement, they will vacate their position at the conclusion of their term and possibly repay a prorated or full membership amount decided by the board, if board feels it is warranted. J. The Range Captain(s) shall: 1. Be responsible for the general appearance and maintenance of the ranges, including target butts, target faces, and custodial care of the grounds and equipment. 2. Work with the Club Shoot Director on all organization-level (local) shoots and with the Event Shoot Director, Field Archery Director and Traditional Shoot Director on all statewide level and above shoots (invitational type events). 3. Present an inventory and recommended budget for the year at the beginning arid end of the tournament season i.e. 3D targets, bales, 2D range, spot range. 4. Assume any other duties pertinent to the position. K. The Event Shoot Director shall: Serve during the following tournaments: 1. ASA Tournaments 2. T.H.E. Deerman Tournaments 3. Any other non-club events or benefit events. 4. All other State, Sectional, Regional, National, and World level tournaments which may be hosted by the organization. 5. Coordinate all events with any other clubs involved, in accordance with the instructions of the membership on their preference for details of the shoot. Maintaining close connection with applicable parent body organization pertaining to each shoot. Preparation and submission of all bids and sanction forms required. 6. Preparation and presentation of a budget for all expected expenses for submitting for annual budget to a regular meeting of the membership for approval, and keeping the membership informed of any needed changes. 7. Generate advertising pieces on the various tournaments and their placement in publications in a timely and useful manner. Mailing of advertising pieces to interested clubs, businesses, manufacturers, and shooters. 8. Preparation of all forms needed to process paperwork at the shoots. Preparation of handouts and announcements to be read at the tournament. Preparation of the agenda for the tournament. 9. Organization of the registration, score boarding, and awards presentation for the tournaments including the design and purchase of awards after approval by the membership. 10. Have on hand and be familiar with all published organization and association rules pertinent to the shoot in progress. Enforcing all organization and association regulations, and serving as the final authority on all decisions and rulings at the tournament. 11. Maintaining records on the results of each shoot and filing all required reports with the association in questions. 12. Reporting results to all archery publications which may have an interest as well as the Editor and Web Master. 13. Assume any other duties pertinent to the position.

L. The Club Shoot Director shall: 1. Be responsible for all organization level shoots, including the preparation and mailing of announcements, registration, posting of scores and verifying and maintaining a record of all awards. The Club Shoot Director will work closely with the Range Captains in setting up for all the organization level shoots. 2. Be responsible for the physical arrangements of all organization sponsored events including rental arrangements as needed, parking, grounds preparation and organizing and running of novelties when required. The Club Shoot Director shall coordinate all applicable needs with the Range Captains. 3. Preparation and presentation of a budget for all expected expenses for submitting for annual budget to a regular meeting of the membership for approval, and keeping the membership informed of any needed changes. 4. Generate advertising pieces on the various tournaments and their placement in publications in a timely and useful manner. Mailing of advertising pieces to interested clubs, businesses, manufacturers, and shooters. 5. Preparation of all forms needed to process paperwork at the shoots. Preparation of handouts and announcements to be read at the tournament. Preparation of the agenda for the tournament. 6. Organization of the registration, score boarding, and awards presentation for the tournaments including the design and purchase of awards after approval by the membership. 7. Have on hand and be familiar with all published organization and association rules pertinent to the shoot in progress. Enforcing all organization and association regulations, and serving as the final authority on all decisions and rulings at the tournament. 8. Maintaining records on the results of each shoot and filing all required reports with the association in questions. 9. Reporting results to all archery publications which may have an interest as well as the Editor and Web Master. 10. Assume any other duties pertinent to the position. M. The Field Archery Director shall: 1. TFAA/NFAA Outdoor SYWAT Tournaments 2. Be responsible for the general appearance and maintenance of the field ranges, including target butts, target faces, and custodial care of the grounds and equipment. 3. Work with the Range Captains on all organization-level (local) shoots and statewide level and above shoots (invitational type events) for field archery. 4. Work with the Range Captains to present an inventory and recommended budget for the year at the beginning and end of the tournament season for the field archery ranges. 5. Preparation and presentation of a budget for all expected expenses to a regular meeting of the membership for approval, and keeping the membership informed of any needed changes. 6. Generate advertising pieces on the various tournaments and their placement in publications in a timely and useful matinee. Mailing of advertising pieces to interested clubs, businesses, manufacturers, and shooters. 7. Preparation of all forms needed to process paperwork at the shoots. Preparation of handouts and announcements to be read at the tournament. Preparation of the agenda for the tournament. 8. Organization of the registration, score boarding, and awards presentation for the tournaments including the design and purchase of awards after approval by the membership.

9. Have on hand and be familiar with all published organization and association rules pertinent to the shoot in progress. Enforcing all organization and association regulations, and serving as the final authority on all decisions and rulings at the tournament. 10. Maintaining records on the results of each shoot and filing all required reports with the association in questions. 11. Reporting results to all archery publications which may have an interest as well as the Editor and Web Master. 12. Assume any other duties pertinent to the position. N. The Traditional Director shall: 1. Be responsible for all organization level shoots and regional shoots pertaining to traditional archery only, including the preparation and mailing of announcements, registration, posting of scores and verifying and maintaining a record of all awards. The Traditional Director will work closely with the Range Captains in setting up for all the organization and state level shoots. 2. Preparation and presentation of a budget for all expected expenses for submitting for annual budget to a regular meeting of the membership for approval, and keeping the membership informed of any needed changes. 3. Generate advertising pieces on the various tournaments and their placement in publications in a timely and useful manner. Mailing of advertising pieces to interested clubs, businesses, manufacturers, and shooters. 4. Preparation of all forms needed to process paperwork at the shoots. Preparation of handouts and announcements to be read at the tournament. Preparation of the agenda for the tournament. 5. Organization of the registration, score boarding, and awards presentation for the tournaments including the design and purchase of awards after approval by the membership. 6. Have on hand and be familiar with all published organization and association rules pertinent to the shoot in progress. Enforcing all organization and association regulations, and serving as the final authority on all decisions and rulings at the tournament. 7. Maintaining records on the results of each shoot and filing all required reports with the association in questions. 8. Reporting results to all archery publications which may have an interest as well as the Editor and Web Master. 9. Assume any other duties pertinent to the position. O. The Membership Coordinator/Public Relations Chairman shall: Membership: 1. Welcome all new members to the club and help them become acquainted with other members. Encourage their attendance and participation at all club functions, particularly during the first three months of membership. Provide an overview of activities and provide any information needed. 2. See that all prospective members become well indoctrinated in the Constitution and By-Laws, the club tournaments and to safe archery practices on the club property. 3. Check on old members who have become inactive or who have dropped out of the club to determine possible ways in which we may improve. 4. Maintain membership applications, membership application at all participating archery shops. 5. Assume any other duties pertinent to the position.

Public Relations: 1. Oversee press coverage of all club sponsored shoots. 2. Be responsible for the promotion of archery and the purposes of this club throughout the city and state. 3. Work closely with all committees in matters of public relations. 4. Provide food on a donation basis, at any Cowtown event that does not have an outside food vendor attending so that archers will have something to eat at the event. PR Director will also keep accounting of all monies spent on food arid all monies donated to replenish food stock. PR director will also work with Shoot Directors to ensure proper amount of food is procured. 5. Assume any other duties pertinent to the position. P. The Web Master shall: 1. Edit and publish the organization’s web site. 2. Including on such web site notice of upcoming events and other items of general or specific interest to the membership. 3. Maintain advertisements of club events. 4. Assume any other duties pertinent to the position. ARTICLE VIII - ELECTION AND TERMS OF OFFICE A. The term of office for each officer and director of the organization shall be one (1) year. B. An election of new officers of the organization for the coming year shall be held each year in the month of August, at the annual meeting of the organization. C. You must be a current club member in good standing for one year to run for office or referred by a member for a board position. Nominations for Board Positions will be held at the July monthly meeting with all members being notified via email, club newsletter, or personal phone call by a Board Member or regular mail. ARTICLE IX - COMMITTEES The President shall appoint committees if deemed necessary as an aid in organizing and establishing any activities or functions pertaining to and for the benefit of this organization ARTICLE X - DUES AND FEES A. The membership dues of this organization shall become payable on January 1, of each year, and MUST be paid in full by March 1st to be eligible for any club awards given at the annual meeting. Dues of new members shall be prorated to prorated price from Aug I to December 31. B. The membership dues shall be: 1. $70.00 for new individual adult or family membership 2. $50.00 senior membership (60 and over) 3. $50.00 youth membership (15 and younger) 4. Prorated memberships starting Aug l" calendar year 08-01 thru 10-31 — Individual/Family - $35.00 Aug-01 thru Oct-31 — Senior/Youth - $25.00. Nov -01 thru Dec-31 -All Memberships $20.00

5. Temporary membership dues will be pro-rated on monthly basis and must be paid in advance for months requested on membership applications and initiation fee of $5.00 plus prorated dues. C. Any person 18 years of age or older must pay full membership unless living with a parent and attending school, in which case he/she may be part of a family membership. D. Tournament and shoot fees shall be fixed by the Board of Directors. E. Officers and elected members of the Board of Directors shall be exempt from membership dues for the following membership year and the club will furnish 1 regular ASA membership for each board member. If any elected officer does not complete their term of office they shall vacate their position and pay the prorated membership dues and any other dues paid by the club for the balance of the year or forfeit their membership, unless otherwise approved by the board. ARTICLE XI – TOURNAMENTS & EVENTS A. A tournament shall be held once a year to determine the archery championships, of this organization. B. Registered tournaments will be in accordance with the rules of the State and National organization pertaining to the event. Before a tournament is accepted, a written proposal will be presented to the club, or a representative from the organization will present the proposal to the membership at a club meeting. If a written proposal is not presented or a representative does not meet with the club, a representative must meet with the tournament director and two board members before the tournament can be accepted. There will be a written agreement signed by both parties. C. Other tournaments may be held as determined by the Board of Directors. D. No member or non-member of the organization may organize and host a tournament or event at the organization's range without the written approval of the Board of Directors or two-thirds majority of the entire membership. E. Any benefit event proposed to be hosted by the club, must be for a recognized not for profit organization, and cannot be for an individual or family. The receiving charity must provide the club with documentation of monies and materials received to benefit their cause with Cowtown noted as the provider of the charitable donations. The organizer of the charity or benefit shoot, must present to the Event Shoot Director, a complete breakdown of all fees to be collected, including any raffles, auctions, or novelty events, with estimations of all expenses projected so that the board can consider the event with a general idea of how much is actually going to the charity, and how much is going to the other aspects of the event. Benefit/Charity event can only be approved by the board and membership at a monthly meeting and approval must be in writing. ARTICLE XII - MEETINGS A. The annual meeting of this organization shall be held on the third Monday in August, or on such other date in August as the Board of Directors shall determine. B. The organization shall have at least one regular meeting each month, such meeting to be held at the time and place determined by the Board of Directors. C. A special meeting of the organization may be called by the President, or by three other members of the Board, or by 1/3 of the membership. All members will receive 10 days’ prior written notice, either via email, club newsletter, or regular mail. D. A special meeting of the Board of Directors may be called by the President, or by three other members of the Board, for transacting emergency organization business which requires immediate action to preserve the organization and its property. All board members will receive prior notice via email, personal phone call from Board member, or regular mail.

ARTICLE XIII - CLUB POLICY A. HUNTING ON RANGE No hunting or killing of animals to be permitted on the range area at any time except for snakes. If snakes are killed they must be removed from the range area. B. RANGE RULES - BROAHHEAID ARROIVS are not allowed on the range or club facilities at any time. - Absolutely NO Alcoholic Beverages may in possession, carried, or consumed on the range or club facilities. - Hunting is NOT allowed on the range or club property. - ALWAY’S close and lock the gate behind you both entering and exiting the club property. The gate will only be left open if a public tournament or club work party is being held. - Crossbows must adhere to all archery safety rules, do not cock the string, or load an arrow until it is your turn to shoot and the crossbow is aimed downrange at all times. - A parent must accompany children under 16 years of age. - No “Sky Drawing". Bows must be drawn down range, towards the target or backstop. - Please be sure the area behind and around the target is clear of living creatures and objects that could be endangered, prior to shooting an arrow. - If you look for a lost arrow, please place your bow in front of the target so others will know you are behind the target. - At the practice range [Static Range], shoot only the target in front of you. Do not shoot across another lane. - Wait until all arrows have been shot, and all shooters have called ‘all clear’, before going down range to pull arrows. - All dogs must be on leash at all times, we are in a city park. - Treat Cowtown Bowmen property with respect and report misuse to a Board Member. - Be considerate of other shooters. - Think safety and shoot safely. - No glass containers. - No open fires. C. BULLETIN BOARDS The organization bulletin board will be used strictly for organization business. A special advertising bulletin board is provided for members who desire to post notices. D. CHILDREN UNDER 16 Children under the age of 16 must be accompanied by a parent or responsible adult. E. RANGE MAINTENANCE General range maintenance expenses under $100.00 do not require full membership approval. Range and club expenses above $100.00 must be presented and voted on by the general membership present at a regular monthly meeting or by two thirds majority of the board of directors.

ARTICLE XIV - POLITICAL CAMPAIGN INTERVENTION A. There shall be no direct or indirect participation in, or intervening in, any political campaign or behalf of, or in opposition to, any candidate for elective public office. Contributions to political campaign funds or public statements of position, verbal or written, made on behalf of the organization is prohibited. ARTICLE XV - DISSOLUTION A. If for any reason, Cowtown Bowmen Archery Club dissolves and ceases to exist, all monies and property shall be donated to another archery club in the region that has a mission goal like ours. No monies or property will be divided among members. The club to be donated to will be decided by vote of the last Club Officers and Board of Directors. ARTICLE XVI - AMENDMENTS A. These By-Laws may be amended by a two-thirds majority vote of the members present at any annual meeting, or by a two-thirds majority vote of the members present at any special meeting called for this purpose. B. Any special meeting called by the Board of Directors or by one-third of the membership for the express purpose of amending the By-Laws shall require one week prior written notice, either via email or regular mail, to the entire membership.
