Constitution of Chapter: [delete] ISTA-RETIRED, [delete comma]ALLEN COUNTY Adopted: September 19, 2002 Amended: January 13, 2005 [Amended November 10, 2011] ARTICLE I NAME The name of this organization shall be ISTA-Retired,[delete comma] Allen County, an affiliated unit of the Indiana State Teachers Association /National Education Association. ARTICLE II PURPOSE This chapter shall be dedicated to the promotion of retirement with dignity, happiness, usefulness, and adequate income through: (a) Promotion the social, professional, economic status [delete (redundant)], and the general welfare of retired school employees. (b) Furnishing a practical basis for united action with others to promote the cause of public education, the welfare of school children and the improvement of educational opportunities for all. (c) Promoting voluntary participation by its members in civic affairs. [change to community activities to avoid repetition of civic affairs in item (d).] (d) Encouraging members to exercise their rights and privileges as citizens, and to willingly accept [reword to say to accept willingly - avoids the split infinitive] leadership in civic affairs. ARTICLE III MEMBERSHIP SECTION 1. All retirees who meet the membership requirements [make word plural] of ISTARetired and NEA-Retired may, upon payment of dues as herein provided, become members of this Chapter with full rights and privileges of membership. SECTION 2. Associate membership of this Chapter shall be open to spouses of members, spouses of deceased former members, and all other persons interested in the purpose and programs of the Chapter. SECTION 3. Membership shall be continuous until a member resigns from the Chapter in writing to the President. Resignations must be submitted between August 15 and September 1 of each calendar year. ARTICLE IV OFFICERS AND BOARD SECTION 1. OFFICERS. The officers of this organization shall consist of a President, Vice President, a Secretary/Treasurer. [Add the words a representative to the local district council, and a representative to the state council. The same individual may hold no more that two of these 1

positions.] Terms of officers shall be for two years. Officers terms shall be from September 1 to August 31. [Change the dates to August 1 to July 31. This is in keeping with ISTA.] SECTION 2. GOVERNING BODY. There shall be a governing body known as the Executive Council [change the word to Committee in keeping with state council wording; this word will hereafter be changed in this document.] which shall consist of officers, chapter representatives to ISTA-Retired or NEA-Retired committees, and chairperson of standing committees. ARTICLE V DUE PROCESS The Association believes that any member who may be subject to censure, suspension, or expulsion shall be guaranteed due process with the right to appeal. Such procedures shall be adopted by the Executive Council [Committee]. Such decision may be appealed to the Judicial Review Board of the Indiana State Teachers Association. ARTICLE V1 MEMBERSHIP AND FISCAL YEAR The membership and fiscal year shall be September 1 through August 31. [Change dates to August 1 to July 31.] ARTICLE V11 AUTHORITY Any part of this Constitution and/or Bylaws which is in conflict with the ISTA or NEA Constitutions [add an s to Constitution] and/or Bylaws will be declared null and void. ARTICLE VIII AMENDMENT SECTION 1. AMENDMENTS. Amendment to the Constitution and Bylaws may be proposed by resolution of the Executive Council [Committee] or by a petition signed by fifteen percent (15%) of the total active membership and submitted to the Secretary. Upon receipt of a proposed amendment to the Constitution and Bylaws, in accordance with the above, the Executive Council [Committee] shall schedule a vote on the proposal. The vote shall be at a membership meeting or by mail ballot and shall take place within thirty (30) days of the introduction of the proposal. A copy of the proposed amendment, together with the recommendation of the Executive Council [Committee] shall be sent to each members of the Chapter at least seven (7) days prior to the vote. SECTION 2. CONSTITUTION. A two-thirds affirmative vote of the membership voting is required to adopt the proposed amendment which shall become effective immediately upon adoption, [delete comma] unless otherwise provided. SECTION 3. BYLAWS. A majority affirmative vote of the membership voting is required to adopt the proposed amendment which shall become effective immediately upon adoption, [delete comma] unless otherwise provided. 2

ARTICLE IX AFFILIATION Every five years the Constitution and Bylaws are transmitted tot he Indiana State Teachers Association Affiliations Sub-committee for review and adoption by the ISTA Board of Directors.

ARTICLE X DISSOLUTION In the event of dissolution of the Chapter, any assets remaining after payment of all debts of the Chapter shall be transferred by the Chapter to the ISTA Foundation for the Improvement of Education.
