TỜ TRÌNH Về việc mức thù lao cho Hộ i đồng quản trị và Ban kiểm soát năm 2014 Căn cứ Điều 117, Điều 125 Luật doanh nghiệp 2005. Căn cứ Điều lệ tổ chức và hoạt động Công ty cổ phần Dịch vụ Đô thị Bà Rịa. Hôm nay tại Đại hội đồng cổ đông thường niên, thay m ặt cho Hội đồng quản trị và Đoàn chủ tịch trình trước Đại hội đồng cổ đông về mức tiền lương, thù lao cho Hội đồng quản trị và thù lao Ban kiểm soát trong năm 2014 như sau: I. Quỹ tiền lương của Hội đồng thành viên chuyên trách: 03 người. Quỹ tiền lương kế hoạch năm 2014: 628.163.208 đồng/3 người/năm Trong năm nếu Công ty bảo toàn và phát triển vốn, nộp ngân sách theo quy định, lợi nhuận thực hiện trong năm bằng hoặc cao hơn lợi nhuận thực hiện của năm trước liền kề và bảo đảm được năng suất lao động không giảm so với thực hiện của năm trước liền kề thì : − Trường hợp bằng: Quỹ tiền lương 696.000.000 triệu đồng/ 3 người/năm − Trường hợp cao hơn: Được tăng thêm mức tiền lương bình quân thực hiện, nhung tối đa bằng 0,5 lần mức lương cơ bản. II. Thù lao: 1/ Hội đồng quản trị: - Chủ tịch Hội đồng quản trị:
4.000.000 đồng/tháng
- Thành viên Hội đồng quản trị:
3.000.000 đồng/tháng
2/ Ban kiểm soát: - Trưởng Ban kiểm soát:
3.000.000 đồng/tháng
- Thành viên Ban kiểm soát:
2.000.000 đồng/tháng
