Risk, Compliance and Governance Manager Ref: RCM03/10/17 Risk and Compliance Permanent: Employment Contract is limited to the licence duration of the SETA. Chief Executive Officer To support business identify, analyse and document risks associated with the organisation and to ensure that the organisations’ risk and compliance management framework and component policies are effectively implemented and applied. Provide governance support to the organisation.

Roles and Responsibilities: Provide strategic direction and ensure the strategic positioning of the Risk and Governance function at FoodBev SETA               

Develop and maintain a risk and compliance framework for the organisation (governance, strategy and processes) Implement the risk management framework effectively across the organisation Develop policies & procedures relating to risk and compliance Identity current/actual and emerging risk through evaluating both internal and external risk environment on a continuous basis Manage the implementation of risk in alignment with other processes to ensure integration and optimisation Develop a risk management system that is adapted, implemented & utilized to ensure compliance Conduct the Gap Analysis Risk and Compliance Management process at regular intervals Facilitate annual risk management assessments for all major changes of operational processes operational processes Develop systems to facilitate risk and compliance monitoring and risk improvement Ensure that all risk & compliance categories are included in the assessment Align the risk & compliance identification process with the organizations’ targets and objectives Compile a consolidated risk and compliance register on a regular basis and ensure that key risk indicators are included in the risk register Assess and quantify actual risk and non-compliance incidences and losses incurred and formally reports thereon Create mechanisms for identifying nodes of change Consolidate all information pertaining to all risk, compliance and related

functions, processes and activities Develop or review and update, on an annual basis, the Business Continuity Plan with management and ensure that the plan is tested regularly Transfer the knowledge in respect of an effective and sustainable process of risk and compliance identification, quantification and monitoring to management Record the decisions regarding mitigation for every key risk facing the organisation in the risk register Benchmark the performance of the risk and compliance management process to the risk management processes adopted by other entities Implement a formalised risk and compliance information system Ensure that risk management training is conducted at appropriate levels within the entity to inculcate a risk management culture Assist the CEO with the management of the fraud hotline Establish a Risk and Compliance Committee and enable management to fulfil its responsibilities Communicate with the Risk and Compliance Committee regarding the status of risk management Validate that enterprise risk management is functioning in all functional areas and that all significant risks are being recognised and effectively managed in a timely manner Work with the committee for monitoring and reporting to ensure compliance with the organisation’s standards and reporting of the most significant risks Assist management with developing action plans to address identified risks and implementation of recommendations from auditors Advising management with monitoring and mitigating identified risks Conduct regular stress testing and scenario analyses Actively participate in, and documenting outcomes of, risk and control assessments with relevant business managers including Executives Maintain updated risk profiles of the organisation and indicate where these exceed or could in future exceed risk appetite or develop into risk concentrations Update the risk register with management Review and update the compliance and regulatory universe and ensure organisational readiness and implementation of laws and regulations that affect the organisation Review and administer the business insurance cover and insurance claims on behalf of the organisation Maintain a loss events register Liaise with internal and external auditors Conducting and facilitating the risk workshop for the organization

Monitor, report and analyse risk, governance and compliance management processes, exposures and trends         

Guide and facilitate Risk Committee’s agenda and charter adherence Oversee and monitor adherence and compliance to risk, governance and compliance policies, standards and procedures within the organisation Monitor and analyse risk trends within business environment Monitor the resolution status and effectiveness of risk actions Independently monitor management of all risk, governance and compliance processes Represent the organisation in communicating risk, governance and compliance issues Management of business continuity and disaster recovery plans Ensure that risk indicators and reports map to the Strategic and Business Plans Ensure that all internal and external reporting and monitoring requirements are maintained

Ensure effective promotion and practice of good corporate governance and compliance pertaining to policies, legislation and regulations              

Governance Support to the Board and its Sub-Committees Develop Charters and Terms of References (ToRs) for Board and its SubCommittees; Monitor review and implementation and facilitate review of Charters and ToRs; Facilitate induction of the Board and its Sub-Committees; Manage management’s and Board inputs onto reference documents and incorporate approved ideas; Facilitate approval of reference documents by the Board; Track and follow up on implementation of Board decisions; Maintain and report on the audit monitoring tool for the audit committee; Provide guidance on compliance with relevant legislations; Assist board with setting risk indicators and setting risk tolerance levels Maintain declaration of interest of the Board members; Ensure effective communication between the Board and its sub committees and continuous report backs; Facilitate performance assessment of the Board and its Sub-Committees; Facilitate training for the Board and its Sub-Committees on new legislation and/or relevant topics

Manage compliance function • Develop and maintain a compliance framework, policies and procedures for the organisation. • Develop a Compliance Monitoring system/checklist that is adopted, implemented & utilised to ensure compliance • Conduct the Gap Analysis Risk and Compliance Management process at regular intervals • Manage compliance enforcement process

Qualification/s proposed for role

  

Honours degree in Commerce, Risk or CA (SA) or similar Master’s degree in Commerce, Law, Risk or any other related field will be an advantage Registration with the institute of risk management South Africa as a risk practitioner or studying towards this qualification or completed other risk management related qualifications (advantage) Minimum of 5 years’ experience as a senior risk manager preferably in a public entity 10 years overall experience in risk management
