I/We understand that till date the execution of land pooling policy has not started however we have checked the progress of the land pooling from the website of DDA and have read the land pooling draft copy which is available on the website of DDA having the current link as http://dda.org.in/tendernotices_docs/jan14/Draft%20LAND%20POOLING%20POLICY%20regulatio ns%20for%20the%20WEBSITE_290114.pdf I/We understand that after reading the land pooling policy draft thoroughly and knowing all the aspects of policy, I/We have decided to group together by my/our own will/Violation for the purpose of qualifying as Developers entity by choosing Skyrise Buildtech Private Limited as my/our legal entity under which I/we hereby vest all the powers and control to develop the proposed group housing project “Sky Homes-I” herein after referred as the “Project” under the mentioned below terms to be abided by the company “Skyrise Buildtech Private Limited” which shall be referred as the “Developer/Company/Developer Entity/Builder” herein after. a) The “Developer” shall collect money as per the payment plan mentioned in the Cost of Apartment & Payment Schedule Section on page number 3 of this application. b) The “Developer” shall buy the land from the collected money and submit it for land pooling whenever the execution of land pooling starts without any prejudice. c) The “Developer” shall develop the group housing society upon the approval of building plans on the pooled land returned back by DDA as per the specification provided by the Developer. d) The “Developer” shall not charge any extra money upon any heads other then car parking and any tax levied like service tax etc. on actual basis. e) The “Developer” shall always keep the participants/Applicant/Buyer/Stake holders well informed in advance about any major decision or activity pursuant to the development of the group housing society. “Developer”, the land for which is acquired and /or being acquired by the “Developer” but the development of the said land for prospective residential group housing project which is subject to receipt of necessary, licenses, approvals, sanctions, permissions etc. from the concerned authorities. The land acquired and/or to be acquired for the proposed residential group housing project of the “Developer” is located at Zone- L/K1, of the Master Plan of Delhi -2021 in South West Delhi, of the National capital Territory. I /We am/are fully aware that my/our participation in the aforesaid project is prospective in nature and is contingent upon the notification or issuance of the applicable legal framework/policy for implementation of the Land Pooling Policy notified by the Ministry of Urban Development, Government of India. Thus, in case the aforesaid Project is abandoned for any reason which is out of the “Developer” control, I/We shall only be entitled to seek refund of the total amount / advance paid to the “Developer”. Skyrise Buildtech Private Limited 6 Expression of Interest for the upcoming project “Sky Homes-I” at L/K1 Zone , New Delhi Terms and Condition binding upon the Applicant/Participant/ Buyer The terms and conditions given below form integral part of the Application and is binding on the intending Applicant/Participant/Buyer and the intending Applicant/Participant/Buyer agrees to accept and abide by the terms and conditions of this Agreement. However, the terms and conditions set out in the Apartment Buyers Agreement upon execution shall supersede the terms and conditions set out in the expression of interest application form. 1.

Applicant/Participant has read and understood the terms & conditions of this application to participate and is agreeable to the same. Applicant/Participant acknowledges that the Company has provided all the information and clarifications as sought by the Intending Applicant/Participant. Applicant/Participant has also relied on his/ her own judgment and conducted inquiry before deciding to invest in the said project.

2.

Applicant/Participant has applied for the participation in the project and is fully aware of limitations, restrictions and obligations of the Company in relation to and in connection with the development/construction of the said Apartment/said building/said Complex and has understood all the constraints of the Company in respect thereof. Applicant /participant confirms that no further inquiry in this regard is required by the intending Applicant/Participant.

The drawings/plans displayed in the office of the Company showing the proposed Project (hereinafter referred to as 'the Project') are provisional and tentative. The Company can carry out such additions, alterations and deletions in the layout plan, building plans, and floor plans as the Company may consider necessary or as directed by any competent authority while sanctioning the building plans or at any time without any objection by the intending Applicant/Participant. Any variations of plus/minus 15% shall be deemed to be within acceptable range and the applicant shall be bound to accept the change in area. The cost of the said floor shall be adjusted (the applicant will be refunded excess amount or be required to pay additional sale consideration), on pro rata basis based on the change (increa se or decrease) in the size of the said area. The company shall only increase or decrease the size of the flat however the loading factor which is in the range (20-25%) of super area shall not change.

4.

The intending Applicant/Participant shall pay the sale price and other charges of unit on the basis of the Super area as mentioned in the payment schedule section as per the payment plan opted by him/her out of the options prescribed by the Company. All payments shall be made by cheque/bank draft payable at New Delhi. Outstation cheques shall not be accepted.

5.

I/We agree to pay the installments and all other moneys/dues as per the payment plan and I/We agree that the total amount payable by me/us for the said Unit shall be based on the area of the Unit as would be given in the Allotment Letter which shall only be issued at the time when all the approvals have been obtained by the company.

6.

The timely payment of installments shall be of the essence. The Applicant/Participant has agreed that all payments for the apartment/other charges will be made to the Company on or before the due date as demanded by the company. In case of default the company has full right to cancel the participation of the Applicant/Participant after giving him/her the written notice. In exceptional circumstances, the Company may, in their sole discretion, condone the delay in payment by charging interest at the rate of 12% per annum on the outstanding amount in default.

That the Applicant/Participant confirms and agrees that in case of delayed payment of any instalment, the payment so made by the Applicant(s) shall first be adjusted towards interest

I/We agree that in the event of my/our failure to pay the due amount as mentioned in the cost schedule section within the stipulated time or any default on our part to accept the terms and conditions of EOI, or my failure to execute the necessary papers (that shall be communicated to me well in advance), within the time stipulated by the Company, my application of EOI shall be treated as withdrawn and the Company shall be entitled to cancel my Expression of Interest and refund the money paid by me without any interest by serving a notice to effectuate such cancellation and I/We shall be left with no interest ,claim or right against the Company after refund arising out of my/our EOI.

9.

The intending Applicant/Participant shall reimburse to the Company and pay on demand all taxes, levies or assessments whether levied now or levieable in future, on land and/or the building as the case may be from the date of allotment, proportionately till the unit is assessed individually. Applicant/ Participants shall keep the Company indemnified, secured and harmless against all cost and consequences and all damages, arising on account of non compliance with the said requirements requisitions demand etc. After possession.

10. The Company on completion of the construction/development shall issue final call notice to the intending Applicant/Participant, who shall within 30 days thereof, remit all dues and take possession of the unit. In the event of his/her failure to take possession for any reason whatsoever, he/she shall be deemed to have taken possession of the allotted unit and shall bear all maintenance charges and any other levies on account of the allotted unit. 11. The intending Applicant/Participant can ask for the refund of his total money paid to the developer without any interest on the total amount paid to the company either if the land pooling has been completed and the floor plans are dully approved by the DDA but the builders buyers agreement has not been signed or the completion of 5 Years whichever occurs before. 12. (a) The conveyance deed shall be executed in favour of the intending Applicant/Participant on receipt of all payments as due. The intending Applicant/Participant shall pay the Stamp Duty, Registration Charges and all other incidental charges for execution of conveyance deed in favour of the intending allottee/Participant. (b) Till the conveyance deed is executed the Company shall continue to be the owner of the project land and also the unit agreed to be allotted. 13. The intending Applicant/Participant shall get his/her complete address registered with the Company at the time of booking and it shall be his/her responsibility to inform the Company by registered letter about all subsequent changes, if any, in his/her address. 14. In all communications with the Company the reference of unit booked must be mentioned clearly. Email communication shall be considered valid from both sides if the acknowledgement for the same has been dully communicated for every email communication. 15. The intending Applicant/Participant shall not be entitled to get the name of his/her nominee substituted in his/her place without the prior approval of the Company. Such approval shall be granted on payment of administrative charges as prescribed by the Company. 16. Applicant/Participant hereby undertake(s) to abide by all laws, rules, regulations, notifications,

Skyrise Buildtech Private Limited 8 Expression of Interest for the upcoming project “Sky Homes-I” at L/K1 Zone , New Delhi demands etc. of the Group Housing Colony and also agree to comply with and carry out all the requirements, requisition, demands and repairs which are required to be complied with in regard to rules and regulations or directives of the Municipal Authority/Government or any other competent authority in respect of the Apartment and building and the land on which the building is standing, at his/her/their own cost and expenses. Applicant/Participant shall pay the same to the concerned Authorities directly or shall pay to the Company in their proportionate share on demand by the Company for the above said reasons b after handling over the possession. 17. The Company in case of any change in the FSI/FAR have the right to explore the terrace/terraces to carry out construction of additional apartments in the eventuality of such change in the FAR without any objection whatsoever from the Intending Purchasers/ Investors. And as such for all times the terrace rights shall exclusively belong to the Company, unless explicitly allotted otherwise. 18. Applicant/Participant agrees the participation is only for the purpose of residential unit and that Applicant/Participant shall not have any right in any terraces or in Facilities BUA, City Level Commercial, City Level Public/ Semi Public Facilities and EWS Flats that are returned to the company by the government, in addition to residential BUA, as per M inistry of Urban Development Notification SO. 2687(E) of 05 September 2013, in the said project. The company shall be free to dispose of the same on such terms and conditions as it may deem fit. Applicant(s) shall not have any right to interfere in the man ner of booking, allotment and finalization of sale of terraces, Facility BUA, City Level Commercial, City Level Public/ Semi Public Facilities, EWS, and their approaches etc. 19. That Applicant/Participant agrees that in case during the course of construction and/or after the completion of the building, further construction on any portion of the plot or building or on the terrace become legitimately possible, the Company shall have the exclusive right to take up or complete such further construction as belongings to the Company not withstanding to designation and allotment of any common areas as limited common areas or otherwise. 20. That in addition to the flat area, the Applicant/Participant if and as mentioned in this agreement, may get exclusive usage rights to certain area (like attached areas with Ground Floor Unit, and attached terrace with certain Upper Floor Flats). No construction, either permanent or temporary shall be allowed in such areas at any time before or after possession. 21. The Applicant/Participant shall not use the premises for any activity other than the residential use specified. 22. In case there are joint Applicant/Participant, all communications shall be sent by the Company to the Applicant/Participant whose name appears first and at the address given by him/her for mailing and which shall for all purposes be considered as served on all the intending Applicant/Participant and no separate communication shall be necessary to the second or co- Applicant/Participant. 23. If as a result of any rules or directions of the Government or any Authority or if competent authority delays, withholds, denies the grant of necessary approvals for Project or due to force majeure conditions, the Company, after provisional and/or final allotment is unable to deliver the unit to the intending Applicant/Participant, the Company shall be liable only to refund the amounts received from him/her with interest as mentioned in the Flat Buyer Agreement/Allotment Letter if the same has been executed or else the total amount paid till date with interest charges as mentioned in Buyers agreement.

The Company shall be entitled to raise finance/loan from any Financial Institution/Bank by way of mortgage / charge / securitization of receivables and creating charge on the project land. In case of the intending Applicant/Participant who have taken loan from any Financial Institution/Bank, the conveyance of the unit in favour of the intending Applicant/Participant shall be executed only upon the Company receiving 'No Objection Certificate' from such Financial Institution/Bank and the conveyance deed shall be handed over to the lending institution if so required by them. However, the charge shall be retrieved before handing over the possession of the unit. 25. It is understood by the Applicant/Participant that it is a large project; the construction will be completed in phases. All the major common facilities will be completed only after completion of construction of all the phases. Applicant/Participant shall take the possession of the unit as soon as it is made available for possession. Applicant/Participant shall have no concern/issues and have no objection to the “Developer” constructing or continuing with the construction of the remaining structures of the Project or other Building adjoining the unit sold to the Applicant/Participant and whether all the Common Facilities have been completed or not. 26. It is specifically understood by the intending Applicant/Participant that the Company may incorporate additional terms and conditions in the Flat Buyer Agreement/Allotment Letter over and above the terms and conditions of allotment as set out in this application. However, these additional terms shall exclude the existing payment plan, total cost, loading factor as mentioned in this application. 27. I/We understand and agree that this EOI application, merely expresses my/our intention to seek allotment of a Unit in your forthcoming projects in L ZONE , Delhi and notwithstanding the fact that the Company may have issued receipts in acknowledgement of the money paid by me from time to time, the allotment of the Unit shall be made by the Company through issue of an Allotment Letter in due course following which I/We shall be required to sign and execute Flat Buyer Agreement for the Unit which shall contain the standard terms and conditions for sale of the said Unit. 28. I/We understand and agree that execution of this EOI shall not amount to allotment of a flat in the Proposed Project Sky Homes-I of the “Developer” till the execution of the Allotment Letter by the Company in my/our favour. 29. I/We am/are aware of the fact that apart from extending priority in participation for the proposed group housing project, submission of EOI does not entitle me/us to any other concession whatsoever whether in respect of payment of the charges that shall be levied by the company as mentioned in the payment plan section in due course of time. 30. I/We agree that, in the event of any dispute or differences arising out of or touching upon or in relation to the terms of this application including the interpretation and validity of the terms thereof & the respective rights & obligation of Applicant/Participant and the Company before resorting to any other course, the matter shall be referred for adjudication under the Arbitration and Conciliation act, 1996 or any other statutory amendments, modifications, for the time being in force. The arbitration proceedings shall be held at Delhi only. It is also agreed that the matter will be referred for adjudication, on the request of the Applicant(s), to a sole arbitrator to be appointed by the Company, whose decision shall be final and binding upon both the parties. FORCE MAJEURE: The compliance of the terms and conditions of this applications and the development of the Project by “the Developer” shall at all times be subject to Force Majeure conditions as defined below:

Skyrise Buildtech Private Limited 10 Expression of Interest for the upcoming project “Sky Homes-I” at L/K1 Zone , New Delhi The first party shall not be responsible or liable for not performing any obligation if such performance is prevented, delayed or hindered by any act not within the reasonable control of the first party. Such acts shall mean any event which by itself or in combination with other events or circumstances could not by exercise of reasonable diligence, or despite adoption of reasonable precautions, have been prevented or caused to have been prevented, and which impairs or otherwise adversely affects the first party’s ability and capacity to perform its obligations and which events and circumstances shall include but be not limited to; a) Acts of God, such as fire (including fire resulting from explosion) lighting, drought, flood, typhoon, hurricane, tornado, cyclone, tempest, storm, inundation, earthquake (including earthquake shock and fire), epidemics and other natural disasters. b) Mischief explosions (including fire resulting from explosion), aircraft impact damage. c) Strikes or lock outs, industrial disputes. d) Non-availability of cement, steel or other construction material due to strikes or lock outs as Manufacturers, suppliers, transporters or other intermediaries or otherwise. e) War and hostilities of war (whether war be declared or not), riots or civil commotion. f) Any event or circumstance similar or analogous to the foregoing. In the event of a Force Majeure event, the first party shall be entitled to reasonable extension of time for performance of its obligations or to put in abeyance or otherwise entirely abandon the Project. g) Any changes to Land Pooling Policy dated 05 Sept, 2013 that prevents the company to execute the project as planned. I/We the above applicant/Participant have understood the above costs/charges, specifications and additional features/facilities of the said project for which I/we am/are submitting my expression of Interest via this application. I/We hereby declare that the particulars given above are true and correct and nothing has been concealed thereof. The Applicant/Participant acknowledges that the company has provided all the information and clarifications as sought by the applicant(s), and satisfied with the same. I/we the applicants have also relied on own judgment and conducted inquiry before deciding to apply for participation of the said apartment.
