VAT The contractor reserves the right to accept/not to accept the tender which proposal for criteria fulfilment exceeds the expected value of the contract.

4. Description of the scope of the contract The scope of the contract covers a purchase of special device which is used for start of aircrafts by compressed air. Detailed description is stated in Annex No. 1 to this call.

Required period, resp. duration of order / contract until 29.3.2018 9. Main conditions of financing and payment conditions 9.1 The scope of the contract shall be financed from means of the contracting authority in form of a leasing. 9.2 A purchase contract will be concluded and signed with a successful tenderer. Business conditions represent an Annex No. 2 of this call. 9.3 The contracting authority does not provide any advance payment or deposit.

10. Conditions of participation 10.1 Information and formal essentials necessary for fulfilment of participation conditions related to personal position 10.1.1 The candidate must comply with conditions related to a personal position pursuant to Section 32 Subs. 1 lett.. e) ZoVO (Act on public procurement). Its fulfilment is proven by the candidate or each member of a group of suppliers in one of the following methods, i.e. as follows: a) By submission of documents pursuant to Section 32 Subs. 2 lett. e) ZoVO document on authorisation to sell goods, provide services, or provide construction works, which correspond to the scope of contract or b) Entry into a list of economic entities, which is kept pursuant to Section 152 ZoVO, and from which it is clear that the candidate provides service, which corresponds to the scope of contract. In this case the candidate does not have to submit the document in compliance with Section 10.1.1 lett. a) and this fact is verified by the public procurer in the Register of economic entities. 10.1.2 Public procurer shall accept an equivalent entry into the list of economic entities or certificate of entry issued by respective authority or other member state by which the candidate proves fulfilment of participation conditions in the public tender. Public procurer accepts also any other equivalent document submitted by the candidate. 10.1.3 In compliance with Section 187 Subs. 7 ZoVO, which came into effect on 18.04.2016, the entry in the list of economic entities is executed pursuant to provisions effective until 17.04.2016 by an entry within the extent of entered facts. 10.1.4 The candidate must not be kept in the registry of persons with a ban to participate at public procurement which is kept by the Office for public procurement pursuant to Section 183 ZoVO. Provided that the candidate is kept in the registry as to the date of tenders submission the tender shall not be assessed. 10.1.5 The candidate proves fulfilment of conditions for participation upon submission of any of the stated documents in their original or officially certified copy (submission of tender in paper form) together with submission of tender. 10.1.6 Provided that the candidate fails to submit documents pursuant to par. 10.1.1 of the call for submission of tenders its tender shall not be put into an assessment process. Criteria for assessment / evaluation of tenders The lowest total price in EUR excl. VAT. 1. The only criterion for evaluation of candidates´ tenders is represented by the lowest price for supply of the complete scope of the contract in EUR excl. VAT. 2. Assessment of the candidate´s tenders is defined by allocation of its respective order according to assessed data stated in individual tenders concerning the price for supply

of the scope of the contract. 3. Order of candidates is determined by comparison of the amount of proposed prices for supply of the scope of contract pursuant to par. 2 of this part of tender documents, expressed in EUR excl. VAT stated in individual tenders of the candidates. The candidate is successful who proposes the lowest price for supply of the scope of the procurement. The candidate must submit the Proposal for fulfilment of criteria, i.e. filled-in Annex No. 3 of this call and price specification, i.e. filled-in Annex No. 4 of this call, signed by the candidate or person authorised to act on behalf of the candidate. 12. Period for submission of tenders is until: 8.12.2017 until 12:00 pm. 13. Place and method of tenders submission Tenders may be submitted in paper form. 13.1 The candidate shall submit the tender in paper form at the address stated in par. 1 of this call. 13.2 The tender must include a sign: „NEOTVÁRAŤ! - „Ťahač“ (Do not open – Pushback). 13.3 The sender – submitter of tender / candidate (name, registered office, address) must be visibly stated at the envelope). 14. Contents of the tender 14.1 The tender must include: The tender must include: 14.1 Documents in compliance with par. 10. of this call. 14.2 Proposal for fulfilment of criteria (Annex No. 3) and price specification (Annex No. 4), signed by the candidate or person authorised to act on his behalf including identification data as an original. If the candidate is not payer of VAT he shall call attention to such fact and total price shall be included in the tender. Provided the candidate does not submit all documents pursuant to par. 14.1 – 14.2 of this call, its tender shall not be valued / assessed. 15. Language in which tenders may be submitted State language, Slovak language. Provided the document is made out in foreign language, it is submitted together with its official translation into the state language, this shall not apply for tenders, documents made out in the Czech language. 16. Further information 16.1 Mutual communication and talk among the contracting authority, candidates, resp. parties interested with regard to explanation of conditions for participation at public tender stated in the call for submission of tenders or other documents provided by the contracting authority within a period for submission of tenders can be executed only in the state (Slovak) language. All costs connected with preparation and submission of the tender are borne by the candidate without any financial entitlement at the public procurer.

Business conditions : The tendering authority shall determine the minimum contents of business conditions which successful candidate puts into the draft of a purchase contract: 1. ● ● ● ● ● ● ● ● ● ● ●

2. The candidate is obliged to include the following basic contractual conditions into the contents of business conditions pursuant to par. 1: • Expected date for goods delivery is until 29.3.2018. • Successful candidate undertakes to supply the tendering authority with fully functional goods fit / suitable to all technical standards into the place of delivery, perform its installation and putting into operation. The tendering authority shall acquire ownership right to the supplied goods upon their handing over according to a delivery note. • In case of delay of a successful candidate with supply of goods within a time period pursuant to this contract the successful candidate shall pay the tendering authority a contractual penalty in total of 0.05% from the price of goods excl. VAT at least, i.e. for each, even started day of delay • Price of goods is agreed as a maximum price and includes all and any direct and indirect costs of a successful candidate as well as his reasonable profit. Invoicing shall only be provided after acceptance of supplied goods in form of a protocol by a successful candidate. Delivery note and acceptance protocol confirmed by the tendering authority shall represent an inevitable part of the invoice. Due date of invoice shall represent 90 calendar days as of the date of its service to the tendering authority. • Successful candidate shall provide a guarantee representing 6 (six) months at least for supplied goods which shall apply as from the date of proper supply of the goods shown in the acceptance protocol • Guarantee service is handled by the successful candidate. • The legal regulations of the Slovak Republic which shall govern the legal relationship established by the purchase contact represent the applicable law. • The tendering authority reserves the right not to accept any supplements / annexes to the contract which relate to the price of the scope of contract. • Further contractual conditions except for the above stated business conditions, which are constant, are the subject of negotiation upon signing the contract between a successful candidate and the tendering authority.
