RETAIL SALES Beautytainers can earn a profit equal to 25% of the suggested retail selling price. These sales can take place in person or online using your Company-provided Personal Website, or via your Beautytainer Backstage portal. Beautytainers receive Retail Sales Commission payouts on a weekly basis.

PERSONAL VOLUME BONUSES There are three (3) bonus levels based on a Beautytainer’s Monthly PV in a given month. Personal Sales Bonuses are paid out on a monthly basis.

T EAM SALES COMMISSIONS: The TYRA Beauty Career Plan allows you to enroll an unlimited amount of Beautytainers on your Crew (team) and qualify to receive Team Sales Commissions through each one who is Active. Each new Beautytainer you personally enroll is considered a new member on your Personal Team. All Beautytainers can qualify to receive Team Sales Commissions and Bonuses. Note on Personally Enrolled Active Beautytainers Requirement This is a Career Plan qualification requirement to earn Team Sales Commissions and Bonuses at all levels of the Career Plan and is capped at four (4) Personally Enrolled Active Beautytainers. A Beautytainer is considered Active and counts toward this qualification for her/his Beautytainer Coach when she/he achieves 500 PV in a rolling three-month period. However, new Beautytainers are granted a “New Beautytainer Grace Period” for the first four months in business, and will be considered Active during the first four months in business upon achieving 150 PV. Beautytainers can qualify as their Paid-As Title and earn associated Team Sales Commissions and Bonuses by satisfying the Personally Enrolled Active Beautytainer requirement with either existing personally enrolled Beautytainers on who have 500PV in a rolling three-month period, personally enrolled new Beautytainers in a New Beautytainer Grace Period, or a combination of both. For example, Mary is a Bronzer Beautytainer and is required to have 4+ Personally Enrolled Active Beautytainers. Her Personal Team consists of: • Joy, Bling Beautytainer with 500 PV in a rolling three-month period; • Dana, Beautytainer with 700 PV in a rolling three-month period; • Melissa, an existing Beautytainer with 200 PV in a rolling three-month period; • Anna, a newly enrolled Beautytainer with 150 PV cumulatively since her start date last month; and • Rose, a newly enrolled Beautytainer with 300 PV cumulatively since she started three months ago. Mary would achieve this qualification thanks to Joy, Dana, Anna and Rose. Although Anna and Rose have not achieved 500 PV each, they count as Active Personally Enrolled Beautytainers for Mary, because they are in their New Beautytainer Grace Period. Melissa would not count toward Mary’s qualification because she is no longer in her New Beautytainer Grace Period and has not acheived 500 PV in a rolling three-month period. IMPORTANT NOTE: Since Rose is in her last month of the New Beautytainer Grace Period, she will need to ensure she has enough PV next month to achieve the 500 PV in a rolling three-month period.

FIRST LINE PERSONALLY ENROLLED TEAM SALES COMMISSIONS: You may qualify for a 3% or 5% First Line Personally Enrolled Team Sales Commissions on the Retail Sales Volume of each Beautytainer that you have personally enrolled into the business. Team Sales are built by enrolling new Beautytainers into the business and coaching them to grow their own businesses and helping them to achieve success. To qualify for this additional commission, you must achieve a minimum of $150 or more in retail value PV in a given month in order to be Qualified (please refer to pages 3-6, or the Career Plan at a Glance for Career Title monthly PV qualifications). 3% First Line Personally Enrolled Team Sales Commissions: When you have one (1) Active Beautytainer on your Team, earn 3% Team Coaching Commissions on the sales of that Team Member. 5% First Line Personally Enrolled Team Sales Commissions: When you have two (2) or more Active Beautytainers on your Team, earn 5% Team Coaching Commissions on the sales of that those Team Member. NOTE: First Line Personally Enrolled Team Sales Commissions are only paid to a Beautytainer’s original Enroller when that Enroller is Qualified. If the Enroller is not Qualified or leaves the business for whatever reason, the Personal Enrollment Bonus is not paid to anyone. PERSONAL TEAM SALES COMMISSIONS: 1. Earn 5% Personal Team Sales Commissions on your Personal Team at the Bronzer Beautytainer Title and above.

NOTE: A Generation occurs when a Beautytainer achieves the Career Level of Qualified Bronzer Beautytainer or higher title in a Leg, which creates another Team leadership generation for that month. Example: Sally enrolls Mary and Mary enrolls Julie. When Mary becomes a Bronzer Beautytainer, she will be Sally’s 1st Generation Leader. When Julie becomes a Bronzer Beautytainer, she will be Sally’s 1st Generation Leader and Mary’s 2nd Generation Leader.

T HE HOOK-UP: The Hook-Up is a bonus pool comprised of 25% of the retail sales that come through the Tyra.com website from customers who have indicated that they are not associated with a Beautytainer. The 25% represents the Personal Sales Commissions that the Company would have paid to the Beautytainer if the sale was associated to a Beautytainer. The Hook-Up pool is distributed on a quarterly basis in the form of a bonus for Bronzer Beautytainers and above based on the number of shares earned in a seasonal Quarter (e.g. Q1’s bonus is received based on the activity from January 1 - March 31). Bronzer Beautytainers and above will receive their portion of the Hook-Up based on the lowest level they have achieved in a seasonal quarter. The amount the pool is funded will vary from quarter-to-quarter and there is no limit to how many Beautytainers may earn shares in the pool so long as they qualify based on the above; therefore there is no guarantee to the amount of payout a Beautytainer may earn with their allotted shares.

NOTE: Beautytainers may qualify for the Hook-Up upon their first full calendar quarter as a Beautytainer and they must Qualify with Paid-As Title of Bronzer Beautytainer or above in all three months of the quarter in order to Qualify. The bonus will not exceed the maximum indicated by Career Level. Any excess funds left in the Pool after bonuses have been paid out will be used toward events, incentives and programs for our Beautytainers. Career Plan Calculation Rules: 1. Compression:

Compression is a Career Plan calculation used when tallying bonus payouts at the end of the month. It is deployed when a Leader (Bronzer or above) is Qualified to receive Generation Bonuses but has Leaders on her Team below her who are not Qualified for the month. It is designed to ensure that a Qualified Leader receives the maximum possible Generation Bonuses based upon Team performance for that month. During the bonus calculation process at month end, Compression will count (and in effect ‘move’) a lower Generation Qualified Leader and her associated Team volume as if it were in a higher Generation position, thereby replacing a nonqualified upline Leader in the same Leg.

Example: Mary is a Qualified Bronzer Beautytainer. Sally is Mary’s first Generation Leader but Sally did not Qualify to be paid as a Bronzer Beautytainer in April. Marcia is Sally’s first Generation Leader. Marcia is Qualified to be paid as a Leader for April. In this situation the system will automatically compress Marcia up from her usual 2nd Generation position to Mary to the first Generation position and pay Mary the 6% first Generation Bonus on Marcia’s Personal Team sales. Sally will not lose Marcia as a Personal Team Member should Sally Qualify as a Bronzer Beautytainer the following month. 2. Promoting Leader’s Grace Period:

When a Leader has a Personal Team member Promote to first generation Bronzer Beautytainer title or above, the Career Plan gives the promoting Leader the next two consecutive months of reduced monthly Leader level performance qualifications to allow time for the promoting Leader to Enroll and Coach additional Beautytainers and rebuild Team Sales Volume. The reduced performance requirements are for the grace period months are: • Must have $500 in PV • Must have three (Not 4) personally mentored active Beautytainers on your Personal Team. (Only two if two members of the Personal Team Promote in the same month.) • Must have $2,000 in Team Sales Volume.

Example: Mary is a qualified Leader. In April Sally, one of Mary’s Personal Team Beautytainers, qualifies as a Leader and promotes and becomes a first generation Leader for Mary. In May and June Mary is in the Promoting Leader Grace Period and has to have: • $500 in PV • Three or more personally mentored active Beautytainers; and, Total Team Sales Volume of $2,000 or more

3. Roll-up:

Roll up is a Career Plan calculation rule that applies when a Qualified Bronzer Beautytainer or higher title for the month has a Team Leader who does not Qualify to be paid as a Leader for that month. The non-qualifying Leader’s Personal Team volume for the month is rolled up into the next Qualified Leader in that Leg upline Leader’s Personal Team volume for that month.

Example: Mary is a qualified Bronzer Beautytainer. Sally is Mary’s first generation Leader. In April Mary has $1,200 in PV, 5 personally enrolled active Beautytainers and $4,800 in Personal Team. Sally has an off month. She only has $300 in PV and for that reason in spite of having 4 personally enrolled active Beautytainers and $4,100 in Team Sales volume, she does not qualify to be paid as a Leader and her upline Leader Mary will not be paid the 6% First Generation Leadership bonus on Sally’s Personal Team volume. Rather than let Mary be penalized by Sally’s failure to qualify, the roll up rule takes Sally’s team sales volume and rolls it into Sally’s Personal Team again so that Mary can still make the 5% Personal Team bonus on the volume. In other words, the roll up rule causes the system to treat Sally’s team volume as though Sally had not promoted from Mary’s Personal Team. After the roll up the system calculates that Mary’s Personal Team volume is not $4,800 but $8,900 (Her $4,800 Personal Team plus Sally’s $4,100 Personal Team) for April. 4. Title Maintenance Rules:

As a Bronzer Beautytainer or higher Title you can maintain your Title for a period of four (4) months even if you miss qualifying to be paid as a Bronzer Beautytainer or higher Title during that period. At the end of that four (4) month period if you have failed to qualify to be paid at that title your title will revert to the actual Career Plan Title level at which you performed and are being paid at during the most recent monthly bonus period.

5. Calculating Career Plan Team Sales Commissions:

In the month that a Beautytainer Promotes to the Bronzer Beautytainer or above Title For purposes of calculating the Team Sales Commissions to both the Leader and the newly promoting Leader for the month the new Leader qualifies to be paid as a Leader the following rule applies: The Personal Team Volume of the new Leader shall count toward the qualifying Personal Team volume of both the promoting Leader and the promoted Leader.

Example: Mary is a Gold Beautytainer. Laura is a Beautytainer in Mary’s Personal Team. In November, Mary’s Personal Team including Laura and her Team has $7,500 in Personal Team volume. However, Laura has met the qualifications to promote to a Bronzer Beautytainer in November - she has $2,000 in PV, 5 personally Coached Beautytainers and $4,100 in Personal Team volume. In this case, Laura will be paid as a Bronzer Beautytainer for her Personal and Team volumes in November. But, Laura’s Personal Team volume will also count toward qualifying Mary to be paid as a Gold Beautytainer for November. In December, Mary will be in the Promoting Leader Grace Period with reduced qualifications while she rebuilds her Team following Laura’s Promote to being Mary’s first Generation Leader. TYRA BEAUTY BEAUTYTAINER ACCOUNT STATUS TERMS AND DEFINITIONS: Open Account Status

A Beautytainer’s account is considered to be in Open Status from the moment she/he places an order, or multiple orders, equal to or greater than one hundred and fifty (150) Personal Volume (PV) in a calendar month. Beautytainers have four months in business to achieve Open Account Status. Please note: The enrollment fee of $49 does not carry any PV and is not applicable toward this requirement; however, the optional Starter Kit purchase of $100 carries a value of 100 PV is applicable toward this requirement.

Active

In order to become and remain Active, a Beautytainer must maintain five hundred (500) in PV cumulatively over a rolling three-month period. New Beautytainers will have four (4) calendar months to achieve this Active requirement. For example: A Beautytainer is Active when she/he achieves 500PV in a rolling three-month period, however, during the first four months in the business, new Beautytainers are given a what is called a “New Beautytainer Grace Period”, which means they will be considered Active by achieving 150PV. Bronzer Beautytainers and above may qualify for the Paid-As Title of Bronzer through new Beautytainers in their New Beautytainer Grace Period, and/or through Active Beautytainers who achieve the rolling three-month 500PV. Although Ann benefits from this exemption, she will still be considered inactive for the purposes of her Upline/Personal Enroller’s Pay Level requirements until she achieves $500 PV. Beginning in fall 2015, if a Beautytainer does not achieve 500 PV in a rolling 3-month period then your status will be changed to inactive and your account will be reclassified to a Club Fierce Membership. Note: In order to be considered Qualified for any Pay Rank commissions and Team Sales Commissions in a calendar month, a Beautytainer must meet a minimum of one hundred and fifty (150) monthly PV requirement. In order to be considered Qualified for any Pay Rank commissions and Team Sales Commissions in any month, a Beautytainer must meet a minimum monthly PV requirement, which varies based on her/his Career Level.

Inactive Account Status

A Beautytainer who does not generate a minimum of five hundred (500) PV within a rolling three-month period, or a new Beautytainer (within four months of start date) who has not yet achieved open account status by achieving 150 PV.

New Beautytainer Grace Period

New Beautytainers are given a what is called a “New Beautytainer Grace Period”, which means that during their first four (4) months in the business, new Beautytainers will be considered Active by achieving 150PV. The uplines of new Beautytainers may qualify for Paid-As Title through new Beautytainers who are in their New Beautytainer Grace Period.

OTHER TYRA BEAUTY BUSINESS TERMS AND DEFINITIONS: Backstage

The Backstage contains online business tools, information pertinent to each Beautytainer and the Beautytainer’s Personal Website.

Beautytainer Coach

A Beautytainer who assumes a personal level of responsibility for a person or group, nurtures, supports and coaches her/him to success.

Bonus

An incentive payment made by the Company for a specific monthly or other bonus period performance for personal or a combination of Personally Enrolled and Team sales volume. Please refer to the Compensation Plan (AKA “The Career Plan”) for more Information.

CAREER PLAN TYRA Beauty does not promise or guarantee that Beautytainers will generate any income. As with any business, each Beautytainer’s business results may vary. Earnings depend on a number of factors, including the area in which you live, individual effort, business experience, diligence and leadership. Potential Beautytainers are urged to perform their owndue diligence prior to making any decision to participate.

BOOTYful Benefits

BOOTYful Benefits are customer referral rewards. Customers can earn these rewards by referring friends to TYRA Beauty. When a referred friend makes a first-time $50+ retail purchase, the referrer will earn $10 in BOOTYful Benefits. There is no limit the amount of benefits a customer can earn but they do carry an expiration date of six (6) months. (See BOOTYful Benefits Terms & Conditions) Note: When a customer uses their $10 BOOTYful Benefits toward a purchase, the Beautytainer will receive full PV on that purchase, but will only receive commission on the cash value of the purchase. Only customers may earn BOOTYful Benefits. Please see BOOTYful Benefits Terms and Conditions in TYRA-U for more information, including how your Customers can share.

Career Title

Represents the highest level a Beautytainer is paid at in the last four months.

Club Fierce

This is a membership based club available to all customers for an annual fee. Membership includes special discounts and offers. Members of Club Firece do not purchase a Starter Kit, do not earn commissions or bonuses, and cannot build a team. Club Fierce will be launching in the fall of 2015.

Commission/Bonus Period

Unless otherwise specified a Commission/Bonus period coincides with a calendar month.

Crew

Your Crew is another word for describing your Team. The word Crew does not have any Career Plan implications, but can be used when referring to your team in conversation or marketing materials.

Customer

An individual or business who purchases TYRA Beauty products from a Beautytainer (in person or via a Beautytainer’s Personal Website) and whose account has been paid in full.

Enroller

The Beautytainer who introduces the new Beautytainer to the business and signs her up to be a member of her Team.

Generation

A Generation occurs when a Beautytainer achieves the Career Level of Qualified Bronzer Beautytainer or higher title in a Leg, which creates another Team leadership generation for that month. CAREER PLAN

Independent This is a term that must be used to describe every Beautytainer. The term identifies a Beautytainer as a business person working with, not an employee of, TYRA Beauty. Paid-As Title

Refers to the rank at which a Beautytainer is qualified to earn commissions and bonuses during the current pay period.

Personal Sales Volume Bonus

A bonus which a Beautytainer can earn based on achieving various thresholds of Personal Sales in a given month. This is inclusive of the sum of PV of products sold and products purchased.

Personal Sales Volume (PV)

Volume associated with all products directly sold or purchased by a Beautytainer. PV is typically equal to the retail value of the product, and is always rounded down to the nearest whole number. PV does not include business supplies and Host Perks, and items purchased in the Werk The Hallway store.

Personal Team

The Personal Team includes you and all of your enrolled active Beautytainers and their enrolled active Beautytainers down to the next Leader.

Promoter Perks

The Promoter Perks program refers to the way in which TYRA Beauty rewards Show Promoters with credits, discounted items and other benefits based on the retail total of products sold at a TYover Show they have hosted for a Beautytainer. These benefits are subject to change based on season, new products and other factors at the sole discretion of TYRA Beauty.

Show Promoter

A person who agrees to host an event (TYover Show ) for a Beautytainer allowing them to share TYRA Beauty products with their friends and family. Hostesses/Hosts are rewarded with other exclusive benefits reserved for TYRA Beauty hosts, based on the retail amount of products purchased at their event. (See Hostess Reward Program).

Retail Customer

An individual who purchases TYRA Beauty products from a Beautytainer but who is not a participant in the TYRA Beauty Compensation Plan.

Retail Profit Commission

Profit earned on orders placed by a Beautytainer’s Customers via the Beautytainers Personal Website.

Retail Sales

Sales to a Retail Customer at full published price.

Starter Kit

The Starter Kit is an initial order placed by a newly enrolled Beautytainer, which contains a badass beauty biz in a box. The Starter Kit contains a selection of TYRA Beauty products, training materials and business support literature to help you run your TYRA Beauty business. It is recommended that newly enrolled Beautytainers purchase a Starter Kit in order to start off their business with an ability to demonstrate the quality and versatility of TYRA Beauty products.

Team

A term used to refer to the Active Members of your sales organization. Starting with you, your Team consists of all the Members that you personally Enroll into the business and the Members they personally Enroll and so on and so forth on down the organization.

Termination

The involuntary cancellation of a Beautytainer’s Enrollment. Beautytainers who are terminated for cause cannot reapply to become a Beautytainer.

Upline

The term used to refer to Members of your same Team that joined the business before you did, who are in your organization above your Enroller/Coach. The person who enrolled you (your Enroller) is your immediate upline and the person who enrolled her is their immediate Upline. If the person who enrolled you leaves the business then you will move up one level and the next active person in that Leg above you becomes your immediate Upline.
