3. Please enclose two (2) cashier’s checks or money orders payable to CHAF (Corn Hill Arts Festival), in the amount of

$35.00 and $300.00. The $35.00 payment is a non-refundable application fee, which will be deposited upon receipt. The $300.00 payment is a deposit securing your truck space and will be deposited upon acceptance. 2015 FOOD TRUCK VENDOR AGREEMENT This Agreement is made between the food vendor whose signature appears on the last page hereto (the “Vendor”), and the Corn Hill Arts Festival (the “CHAF Committee”), as of the date of the signature of the Committee.

1. LOCATION, CONSTRUCTION AND OPERATION OF CONCESSION BOOTH LOCATION OF FOOD TRUCK Vendor agrees to participate in the Corn Hill Arts Festival, sponsored by the Corn Hill Neighbors Association, Inc., during the following dates and times: Saturday, July 11, 2015, 10:00 a.m. - 6:00 p.m. - Sunday, July 12, 2015, 10:00 a.m. - 5:00 p.m. The streets of the festival area close to vehicle traffic at 8:30 a.m. both days and remain closed until the police determine normal traffic is safe for the public. Vendor shall comply with all Festival Committee and police regulations for street traffic. Vendor shall furnish, at his/her own expense, the food truck and any other equipment needed for the operation of his/her concession. Vendor shall ensure that the food truck placement shall allow for the safety of all festival patrons. The location of Vendor’s truck(s), determined by the Festival Committee, is provided to the Vendor, no later than 9:00 a.m., Friday July 10, 2015. The Festival Committee reserves the right to change the location of the Vendor’s truck(s) if deemed to be in the best interest of the Corn Hill Arts Festival and/or the safety of the patrons. Vendor may bring in his/her food truck after 12 noon on Friday, July 10, with the understanding that the streets in the Festival site are open to traffic until the Festival hours as stated above. Vendors setting up in the street and using electricity and/or water from private residences must contact a member of the Festival Food Committee prior to connecting to the property. The committee member will ensure the location of the utility source and resolve any problems relating to the connection. Vendors who set up and connect to electric and/or water without a committee member present are liable for any property damages. Any costs incurred by such damage will be deducted from the Sanitation/Electric/Water Fee. If the costs incurred are greater than the fee, the Vendor will be billed for the additional cost. Payment is to be made within thirty (30) days of notification of damages. TERMS OF OPERATION OF CONCESSION TRUCK Vendor agrees that neither food nor beverages will be sold until completion of an inspection by the Monroe County Health Department, granting permission to vend. Vendor agrees to sell only those items listed on the Food Truck Application Form and approved by the Festival Committee by contract. The Festival Committee may restrict food sale of any item not listed on the Food Truck Application Form or any item deemed objectionable with reference to quality. Vendor may only promote and sell items from within truck space. Vendor agrees to post the following items conspicuously within Vendor’s truck: ● Monroe County Health Department Vending Permit. ● New York State Sales Tax ID#, Food Truck Application - Page 3 of 7



Prices for all food and drink sold.

Vendor shall remove all equipment, fixtures, inventory and other property from its allocated space(s) upon the official closing of the festival and no later than 9 p.m. on Sunday, July 12, 2015. Cost of any removal not completed by the Vendor will be the responsibility of the Vendor. Propane tanks are the sole responsibility of Vendor. Vendor shall supply own propane tanks, provide locked valves on all propane tanks, and secure and remove propane tanks at the close of festival Sunday, July 12, 2015.

2. FEES APPLICATION FEE Each Vendor shall pay a non-refundable processing fee of $35.00 and a truck deposit of $300.00 to secure a place at the festival. Vendor status (accepted or not accepted) for the 2015 Corn Hill Arts Festival, is provided in writing in May. A vendor may not be accepted into the festival if the truck deposit is not paid. If a vendor is not accepted, the $300.00 truck deposit is refunded. SPACE FEE Each Vendor shall pay a space fee based on the Vendor’s total truck space measured in square feet (ft 2). The first 100ft2 per truck will be calculated at $15.00 per ft2. Additional footage will be calculated at $13.00 per ft2. The minimum truck fee is $1,500. To calculate the square footage of your truck, multiply the front width of your truck by the depth of your truck. Vendor must include truck overhang space and any storage space in their total square foot dimensions. Failure to do so may result in an assigned space which will not accommodate the Vendor’s needs. The Festival Committee will verify measurement of the food truck. All fees are due no later than June 19, 2015. No exceptions. ELECTRICAL HOOK-UP FEES Electrical hook-ups (110 volt/20 amps) are available in limited quantity.. Charge for service is $30.00 per electrical cord plug-in (110 volt). Any special 220 volt/30-50 amps will be $85.00. The fee is due at the time specified in the Cover Letter constituting a part of this Agreement. Only one cord is allowed per outlet. Multi-outlet or power strips are not allowed. Please indicate your electrical needs on the Food Truck Calculation Page. Failure to do so may result in assigned space with no electrical capability. *** Please see city codes on Electrical Cord regulations (attached at end of agreement). SANITATION/ELECTRIC/WATER FEE A Sanitation/Electric/Water Fee of $250.00 per truck is required. The fee is due at the time specified on the Food Truck Vendor Application Page, constituting a part of this agreement. The Vendor is responsible for and agrees to adequately maintain his/her vending area during festival hours and remove all refuse and debris at the end of each day. Vendor must furnish two (2) or more trash receptacles and store all refuse in these containers. Containers must be at the curb for disposal at the end of each day. Vendor agrees not to use trash receptacles provided for the use of festival patrons. Grease spills, trash and bread trays left in your area will result in a clean-up fee determined by the Festival Management Committee. Should the Vendor fail to meet the requirements of this paragraph, clean up fees will be charged and deducted from the paid Sanitation/Electric/Water Fee. Fines for any citations made by the Rochester Fire Department against a Vendor are deducted from the Sanitation/Electric/Water fee. Return of the Sanitation/Electric/Water Fee or balances will be made by August 31, 2015. REFUND TERMS Cancellations received prior to June 19, 2015 will be entitled to a full refund, less a $100 service charge. The space fees cover both days of the festival. There is no rain date for the festival. All decisions postponing or canceling one or both days of the festival shall be made solely and exclusively by the Festival Committee and shall be final. If the Corn Hill Arts Festival is canceled for any reason whatsoever prior to the first day, vendors shall be entitled to a full refund of all paid space fees. If one full day of the Corn Hill Arts Festival is canceled, vendor shall be entitled to a refund of one-half of the paid space fees. Note: A refund is not awarded if the vendor fails to pass the review of Monroe County Health Department or is removed by the Festival Committee for violations cited above. If removed from the festival the vendor forfeits the right of sales. Failure to pay all required fees in advance of the Festival will result in deductions from the Sanitation/Electric/Water Fee and/or billing for additional services such as electricity or water..

3. PERMITS MONROE COUNTY HEALTH DEPARTMENT PERMIT Vendor is required and agrees to obtain a valid vending permit from the Monroe County Department of Health. Restaurants or catering facilities currently holding such a permit are still required to obtain a vending operations permit from the Monroe County Department of Health. Vendor agrees that no vending activities are allowed without permit. Food Truck Application - Page 4 of 7

The Festival Management Committee will provide the Monroe County Health Department with a list of those businesses accepted as food vendors for the 2015 Corn Hill Arts Festival. Vendors who do not apply for a health permit by Friday, May 15, 2015, may not be eligible to participate in the 2015 Corn Hill Arts Festival. 4. MISCELLANEOUS INSURANCE Vendor agrees to maintain fire, worker’s compensation, and other insurance that indemnifies the Corn Hill Neighborhood Association related to the operation of the food truck, with a minimum coverage of $100,000 and general liability coverage of $1,000,000. Vendor shall submit proof of effective coverage for the Friday, Saturday, and Sunday of the festival naming Corn Hill Neighbors Association, Inc. as a co-insured and holding CHNA harmless. The Vendor shall provide the Festival Management Committee with a copy of such certificate no later than Friday, June 5, 2015. Prior to vending, the certificate must be provided to and approved by the Festival Committee. SECURITY/RESPONSIBILITY OF PROPERTY Inventory or equipment left in the truck during non-Festival hours are the sole responsibility of the Vendor. The Vendor acknowledges that street sweepers and washers will be cleaning the Festival site each evening, and that such operations may cause damage to any equipment, fixtures and any other property left on site that is near the roadways. The Vendor is responsible for the safety and protection of Vendor’s property that is on the site of the Corn Hill Neighborhood Festival area. The Vendor agrees that neither the Corn Hill Neighbors Association, Inc., nor the Corn Hill Festival Committee shall be responsible for any loss or damage to Vendor’s property. ICE SERVICE Ice will be available for purchase/delivery from approved on-site supplier which vendors are required to use. The use of another outside ice-supplier is prohibited. USE OF CORN HILL LOGO Vendors agree not to create, use or sell any item with the words Corn Hill Festival, or Corn Hill Arts Festival, or any Corn Hill logo. Creation, use or sale of such will be in violation of the Corn Hill Neighbors Association registration of name and logo with the State of New York and of copyright law. NO GUARANTEES OR WARRANTEES Corn Hill Festival Committee does not guarantee vendor location or food product exclusivity. AMENDMENT AND TERMINATION The Corn Hill Arts Festival Committee and Vendor mutually agree that the operation of Vendor’s business at the 2015 Corn Hill Arts Festival is to be governed by the terms of this agreement and that this agreement, including the accompanying Application Form and Calculation page, constitutes the entire agreement between parties. The Amendments to this agreement require written confirmation from the Corn Hill Arts Festival Committee and Vendor. The Festival Committee may terminate this Agreement at any time upon breach of the agreement by the Vendor of any of the terms, provisions, and conditions set forth in this Agreement including any attachments or amendments made a part of this Agreement. Such termination shall cause Vendor to forfeit all rights and result in the Festival Committee having no obligations under this Agreement. Upon termination of this Agreement, the Festival Committee may retain as liquidated damages all or any portion of any fees previously paid by Vendor under said Agreement. The vacated location is open space and may be afforded another Vendor. Signature, by the Vendor, indicates that Vendor has read and understood the terms of this agreement. RFD Electrical specifications for Extension Cords New York State Fire Code 1. Extension cords shall be plugged directly into an approved receptacle except for approved multi plug extension cords and shall serve only one portable appliance. No “pigtails,” splicing or “daisy chaining.” NYSFC 605.5.1 2. The ampacity of the extension cords shall not be less than the rated capacity of the portable appliance supplied by the cord. (Never can a small cord supply a larger) NYSFC 605.5.2 3. Extension cords shall be maintained in good condition without splices, deterioration or damage. NYSFC 605.5.3 4. Extension cords shall be grounded when serving grounded portable appliances. NYSFC 605.5.4 5. Open junction boxes and open-wiring splices shall be prohibited. Approved covers shall be provided for all switch and electrical outlet boxes. NYSFC 605.6 6. Power cords shall be protected from physical damage and from becoming a ripping hazard. Where this may occur, power cords shall be installed overhead and/or run through a PVC conduit or commercial wire chase. Use of carpets, tape or equivalent is prohibited. 7. Electric receptacles shall be ground fault protected. 8. All connections shall be of weather tight protection from rain and water. 9. All electrical cords shall be U.L. listed electrical cords rated for outdoor use. NO HOUSEHOLD OR NON-WEATHER TIGHT POWER CORDS OR ELECTRICAL OUTLETS WILL BE PERMITTED. All electrical wiring and devices shall be in compliance with the National Electrical Code.
