GENERAL TERMS OF SALE Art. 1 - Recital 1.1. The present Special Sale Conditions are applicable together with the Agreement signed by the Parties. 1.2. In case of contradiction between the present Special Sale Conditions and the Agreement, however, the former shall prevail over the latter. 1.3. In any case, the clauses of the Agreement which are not in contrast with the present Special Sale Conditions are valid between the Parties. 1.4. Any invalid provision of the present Special Sale Conditions shall not affect the validity of the Special Sale Conditions itself. In case of an invalid prevision contained in the Agreement, the Special Sale Conditions will remain in force and the invalid prevision shall be deemed as never be contained herein. 1.5. Any change or amendment of the present Special Sale Conditions shall be made in written form. 1.6. A waiver by either Party of any breach of any of the provision of the present Special Sale Conditions shall not be considered as a waiver of any subsequent breach of such provision or as a waiver of any provision itself. Art. 2 - Delivery 2.1. Save for any contrary agreement, the delivery shall be made “Ex work” (according to the Incoterms, version 2010), being understood that all the risks concerning the transport of the Product are at the exclusive charge of the Authorized Seller, even if the transport is organized by the Manufacturer. 2.2. Being understood that the costs of the packaging is at the exclusive charge of the Manufacturer, the Manufacturer has the right to choose the appropriate kind of packing depending on the transportation needs and requirements. The Manufacturer shall not be responsible for any loss or damage occurred after the handed over of the packed Product to the carrier, being agreed that the packing should be made in an “appropriate” manner. The packing is deemed to be “appropriate” once the packed Product has been accepted by the carrier. 2.3. The delivery schedule is to be considered approximate and not binding for the Manufacturer. This notwithstanding, should the Manufacturer not be able to deliver the Product on the scheduled time, it shall inform the Authorized Seller of the delay, as soon as possible in writing, and communicate it the new forecasted date of delivery. 2.4. In the case where the delay of the delivery is due to the Authorized Seller, the Manufacturer has the right to ask the Authorized Seller for the refund of the expenses incurred due to the delay (as, an example: storage costs). Art. 3 - Prices and payment conditions 3.1. The price of the Product is not included of delivery, transport costs, customs duty, VAT, or other taxes on business, nor duties, the setting-up, the assembly and the installation. The price of the Product shall be considered fixed and invariable if the delivery takes place within 120 days from the Order; in case of deliveries after the time limit above mentioned, for which delay the Manufacturer is not responsible according to art. 4.4. of the present Special Sale Conditions, the price-list in force at the time of the delivery shall be applied.
3.2. The Authorized Seller shall not claim any eventual non-fulfillment of the Manufacturer if it has not made regular payments. In any case, an eventual non-fulfillment of the Manufacturer shall not enable the Authorized Seller to suspend or delay the payments, totally or partially. 3.3. In case of delay or lack of payment at the established dates, or in the case where the financial situation of the Authorized Seller might go to the detriment of the credit of the Manufacturer, the Manufacturer shall have the right to suspend any further delivery and/or to cancel any eventual Order still to be executed. After fifteen (15) days from the date established for the payment, if the payment has not yet been performed, the Manufacturer is entitled to issue a Bill of exchange payable at sight that the Authorized Seller, by signing the present Special Sale Conditions, declares to accept and thus authorizes, including the expenses. 3.4. In case of delay of the payment, safe for what is stated in the precedent clause, a moratory interest determined on the basis of the current interest rate established by the European Central Bank increased by 2 (two) points shall be calculated automatically on the sum overdue and not paid, without prior notice. Art. 4 - Retention of title It is agreed that the delivered Product remains in the property of the Manufacturer until the payment has been entirely fulfilled and received by the Manufacturer. In any case, all risks connected to the Product will be transferred to the Authorized Seller with the delivery. Art. 5 - Applicable law - Jurisdiction 5.1. The present Special Sale Conditions are governed by the laws of Italy. 5.2. The competent law court of Reggio Emilia (Italy), shall have exclusive jurisdiction in any action arising out of or in connection with this Contract. Art. 6. The Parties declare that the content of the present deed is the result of a negotiation with reference to each individual clause and that, therefore, do not apply Articles 1341 and 1342 of the Italian Civil Code. Art. 7. - Warranty All the GIOPAGANI product come with a certificate of authenticity and a reference number. DirtyLab certifies the authenticity of every product. Damages due to improper or use or unauthorized applications of the product are excluded from warranty. Art. 8. - Intellectual Property GIOPAGANI is a registered mark. Every improper and/or unauthorized use will be prosecuted by law. Art. 9. - Tolerances Each product is realized manually and every dissimilarity from the catalogue samples is to be attributed to the handcraft working process and they can’t be considered flaws. Art. 10. - Maintenance instructions Do not expose to atmospheric agents. The proximity to heat sources can damage the product. The long exposure of the product to sunlight can bring color variations. Professional dry cleaning service ONLY recommended. A kit of touch-up products is available on demand.
