We shall do 31 day evaluation and provide you with the compilation of the outcome. 4. To reinforce the Positive Message - Since many people want to purchase an autographed copy of Mr. Shiv Khera’s books & other motivational products, please provide „L‟/‟U‟ shaped 2 or 3 tables for display near the Tea Stations. IMPORTANT SUGGESTIONS In house Programs, besides being highly recommended for staff, become more effective when organizations include their Dealers/Distributors/Suppliers etc. in order to bring loyalty. 1. 6. Methodology and Materials i. It is an interactive and participative programme with involvement through part lectures, small group discussions, role-plays, situational case studies and individual written and team exercises.  3 day programme - timings: 9:30 a.m. to 5.30 p.m.* (Approx. 8 hours daily). Timing may be extended due to the free flowing nature of the programme.  Group size: Approx. 60 participants. ii. Each participant receives - Work Book & other reading material iii. Certificate of Participation - The certificate of participation will be awarded to only those participants who have achieved 100% attendance with complete participation. Since the certificate is earned not given, leaving the program with or without permission does not entitle any participant to the Certificate. Besides, being in and out of the program shows lack of seriousness and is disruptive to other participants. iv. All participants are requested to be seated before 9.30 a.m. everyday.

Important – We Recommend – Please send a confirmation letter to all the participants in advance to clarify expectations of each other. The sample confirmation letter shall be provided to you upon request. 7. Rights a. Mr. Shiv Khera exclusively and unconditionally retains all rights whatsoever, including Intellectual Property Rights, Recording Rights (Audio and Video) and the use of name / logo of client / organizer, clips of audiences. The client/organizer shall be responsible to ensure that no recording of the program shall be done by the client / organizer or any third party. b. If Mr. Shiv Khera in his sole discretion feels that his goodwill is being diluted/ compromised in any manner, Mr. Shiv Khera has the right to take any action whatsoever without any obligation to whomsoever. Mr. Shiv Khera’s decision shall be final & binding. Client / Organization hereby relinquishes all rights and claims pertaining to this proposal. c. Rights not specifically given under this agreement are reserved exclusively and unconditionally by Mr. Shiv Khera. 8. Indemnity & Relief: All losses/risks/liabilities/claims whatsoever & from whosoever, pertaining to this event rest exclusively & absolutely with the client / organizer and none with Mr. Shiv Khera/ QLS and/or its affiliates / associates. It is agreed upon that in the event of any dispute arising out of, or in any manner, incidental to this agreement, the client’s / organizer’s maximum cumulative relief, directly or indirectly, from Mr. Shiv Khera / QLS and/or its affiliates/associates, inclusive of but not limited to costs, expenses, penalties, legal fees, damages etc. shall never exceed Indian Rs. 10,000/- (Rupees Ten Thousand Only) or equivalent currency thereof. Any excess thereof shall stand indemnified by client / organizer, and this indemnity shall survive termination/completion of this programme. 9. Arbitration and Jurisdiction: a. Arbitration: All disputes that may arise between the parties relating to this Agreement shall be referred to a single arbitrator to be appointed exclusively by Mr. Shiv Khera. The arbitration proceedings shall be conducted in Delhi, India. b. Jurisdiction: Both parties agree that this agreement is valid & enforceable regardless of wherever and howsoever (electronic or otherwise) it is signed, and subject to the exclusive jurisdiction of courts in Delhi, India. 10. Cancellation: In case the client / organizer cancels the program at any time for whatsoever reason, the monies received by QLS shall be Non Refundable and considered earned by QLS. However, QLS has the right to cancel this agreement at any time at its sole discretion without assigning any reason, and may refund monies received by them without any other obligation whatsoever and to whomsoever. 11. Additionally: a. All Marketing Material/advertisements, if any, by the client/ organizer must be preapproved in writing by QLS and expenses thereof shall be borne by them.

b. All right(s) not exercised by Mr. Shiv Khera /QLS (under this agreement), shall not amount to his waiver / relinquishment of such right(s) whatsoever. The client shall hold Mr. Shiv Khera/QLS and/or its associates / affiliates harmless and indemnified in every manner whatsoever. c. This agreement supersedes any other agreement. d. Use of name, photograph of Mr. Shiv Khera, logo, trademarks etc. if any, will be pre-approved and shall remain a single use license for the purpose of that one event alone. e. All publicity material must carry the following disclaimer: “All liabilities, whatsoever, pertaining to this event rest with the client / organizer”. f. If any fee is to be charged by the client /event organizer, it must be pre-approved in writing by Mr. Shiv Khera. g. This relationship is a principal-to-principal arrangement. h. Our fees are subject to change without notice. i. Please note that during Mr Shiv Khera’s visit, no other engagement will be made by you for Mr. Shiv Khera. 12.

Minimum billing will be for Rs. 26,625/- per participant 60 participants. (All applicable taxes shall be charged extra to the Client/Organizer) *To reinforce an attitudinal change, the investment includes materials i.e. a workbook & a combination of books/posters/audio &/or video material to be decided by Mr Shiv Khera. b. Logistics for Programs: 1. BOARDING & LODGING: Total 2 rooms including incidentals (1 Suite and 1 Standard double room in a Five-Star Hotel). 2. Payment for “One First Class & Two Economy Class (Two-way) Airfare for Domestic travel”, regardless of the mode of travel and number of people traveling. All travel arrangements will be made by our Office (QLS). 3. All arrangements for Presentations/Seminars, facilities (including Audio / Video / Hotel / Conference Hall / etc should be taken care of and paid for by the Client / Organizer. 4. Local transportation – 2 AC cars. 5. Fixed incidental charges of Rs.15,000/- to be borne by the Client / Organizer.

15. Investment: a. Please enclose a cheque / DD for Rs.3,50,000/- (Rs. Three Lacs Fifty Thousand only) (NON REFUNDABLE) as a token signing amount with the signing of this agreement. b. The balance amount as applicable is payable within 5 days of receipt of our Proforma Invoice. c. The mere acceptance of this proposal by Client / Organizer will not bind Mr. Shiv Khera / QLS unless the total payment as envisaged above is received, and the contract shall not be deemed to have come into existence except to the extent of clause on Arbitration & Jurisdiction hereinabove. 16. Lunch will be self-served from both sides (Service spoon to be placed on both sides). Tea would be served by Hotel staff at the counter. 9. B. AUDIO VISUAL 1. In a hall with inbuilt speakers, please make sure that they are supplemented with three floor speakers. 2. The operator to handle the audiovisual equipment professionally should remain inside the hall all the time. 3. Audio CD & Video DVD player and Projector with sound system – with 1 or 2 Screens (1 screen is sufficient for 60 people). 4. Visualizer cum Projector (to project the written material on the screen) or Overhead Projector (OHP), Screen, Pens for OHP and 15 Blank transparencies. 5. Flip Chart & Marker pens 6. Two Hand Held Cordless Mikes. 8. Visualizer cum Projector or Overhead Projector (OHP). Screen, Pens of OHP and 15 Blank transparencies. (Visualizer – to project written material on the screen). 7. Audio Visual should have enough batteries for cordless mikes and spare lamps for OHP and anything else that you feel necessary Please note that same Projector can be utilized for DVD player Audio / Video Recording of Program or part of it is NOT PERMITTED. C. SEATING ARRANGEMENT 1. Round Tables with approximately 6-10 chairs around each table depending on the: a. diameter of the table b. size of the room c. number of participants. Lay out according to the attached diagram. 2. Table Requirements other than for the participants a. 1 Head table inside the room. b. 2 Tables with 2 chairs outside the Hall for registration. c. No Platform / Dais is required. (Unless the number of participants for the program exceeds 500 people.) 3. A writing pad and a pencil / pens for each Participant and spares for continuation. D. IMPORTANT – PLEASE NOTE: 1. Please instruct the Hotel staff to freshen-up tables, water stations, etc only during the breaks. 2. Please do not put flowers, ashtrays & glasses of water on the conference tables.
