Reno Collective, LLC 1515 Plumas St. Reno, NV 89509 Membership Agreement Reno Collective, LLC’s mission is to provide a shared, community-driven workspace for independent workers. It exists because of you and for you. As a member, you will not just be a customer of Reno Collective; you will be an active part of the Reno Collective community. Parties This Membership Agreement (“Agreement”) is made by and between the Reno Collective, LLC (“the Collective”) and the undersigned Member of the Collective (henceforward “Member”). This Agreement defines the terms of use of the Collective’s space at 100 N. Arlington, Suite 100, Reno, NV 89501 (the “space”) and its MeetUps and Events, to which Members might bring Guests in accordance with the terms of this Agreement. Terms of Membership A Member is permitted access to the Collective for the general purposes of: ● Gathering socially with other Members and their Guests consistent with the ​Expectations of Members​. ● Conducting business, including meeting with limited numbers of Guests consistent with the Expectations of Members. ● Hosting private or public Events and meetings consistent with the ​Expectations of Members. ● Using conference rooms consistent with the ​Expectations of Members​. ● Accessing the Internet via Wi-Fi for lawful purposes. Limits on access and additional benefits apply to this Agreement corresponding to Membership level chosen by the Member, which is then invoiced and paid for by day or by month; chosen level can be changed at the Member’s request. ​See the attached ​MEMBERSHIP PRICING STRUCTURE & BENEFITS​, which is attached hereto as part of this Agreement. Payment Prior to signing this agreement, Member must provide the Collective with a valid credit card, which will be used by the Collective to ​charge membership dues on the 25th of each month for the following month’s dues corresponding to his/her membership level, and a reasonable form of identification. A minimum of one month’s membership is due at the time of initial sign up. A Member may alter their chosen Membership level at any time. If a Member alters their chosen Membership level, the Collective will adjust the Member’s monthly bill on a pro rata basis. If payment is denied by the card issuer the Collective will re-bill the Member within one week after notifying the Member via email of the denial. Subsequently, if payment is not made by the Member within the week provided the Collective may terminate this Agreement and immediately cancel the Member’s membership.

Treat other Members with courtesy and respect. Treat the space with respect. Keep current with membership dues. Contribute to and participate in the good of community; contributions include what YOU have to give and can include cleaning, marketing, hosting events, teaching classes, or other activities that increase the livability of the space and financial viability of the community. Use the space for legal purposes only. To only allow Guests in the space when the Member is present​ and to only permit reasonable Guest access and use of the space. Abide by all other rules of conduct (​See HANDBOOK on the Member Portal) ​or use of the space that the Collective may establish formally or informally.

Termination of Membership The Member may terminate membership at any time, and will not be subsequently billed. Members whose membership is terminated by the Collective will have their current month’s dues refunded on a pro rata basis. All outgoing Members agree to do the following within 2 weeks after termination: ● Return their RFID or physical key (if any) ● Empty their locker (any items remaining after 2 weeks will be donated to a charitable organization) ● File a change of address with the USPS (any mail arriving after 2 weeks will be returned to sender) The Member agrees that the Collective’s management shall have absolute discretion in determining whether and/or when a membership should be terminated and that the Collective may terminate a membership at any time for any reason or no reason.​ ​Circumstances that may result in the Collective immediately terminating membership include but are not limited to: ● Abusive behavior or any behavior inconsistent with the ​Expectations of Members​. ● Behavior that the Collective believes will result in harm to any Member, Guest, or other. ● Giving a key/keycode to anyone else or allowing non-paying customers, other than the Members’ Guests, entrance into or use of the space at any time. This is grounds for immediate termination of membership plan and a lifetime ban from the Collective for both the Member and the person who was allowed into the space. ● Substantial complaints from other Members or Guests. ● Independent decision of the Collective based on economic or other circumstances. Notice Regarding Pets Please be aware that pets permitted at the Collective according to the following conditions: Only two pets total are allowed in the Collective at any one time, on a first come first serve basis by calling the Collective. Members are not permitted to bring aggressive or disruptive pets to the Collective. Members are solely responsible for the conduct or actions of pets brought to the Collective. Member hereby agrees to indemnify and hold harmless the Collective for any actions or damages caused by the Member’s pet(s). If you are allergic to dogs you may not be comfortable at the Collective.

Modification of Agreement The terms of this Agreement may be updated or modified by the Collective at its option without prior approval or consent of any Member. Each Member will be notified of any changes to the Agreement at least 30 calendar days before the changes go into effect. A Member may either 1) continue to be a Member and agree to the changes to the Agreement and sign them electronically, or 2) choose to terminate membership if they so wish. Any termination of this Agreement pursuant to this section shall be effective when the changes to the Agreement go into effect. Arbitration Clause The Collective and Member agree that any claim or dispute between them or against any agent, employee, successor, or assign of the other, whether related to this Agreement or otherwise, and any claim or dispute related to this Agreement or the relationship or duties contemplated under this Agreement, including the validity of this arbitration clause, shall be resolved by binding arbitration by the Court Annexed Arbitration Program in the Second Judicial District Court in Washoe County, Nevada, under the Nevada Arbitration Rules then in effect. The parties agree that any such arbitration proceedings shall be conducted in Washoe County, Nevada. This agreement shall be interpreted under and subject to the laws of the State of Nevada. Entire Agreement This Agreement constitutes the entire and final agreement between the Collective and the Member and supersedes and replaces any and all prior oral or written agreements or discussions. Waiver of Liability All food and drink (including food at parties, lunches, beverages, etc.) consumed socially on the premises is considered to be offered by one Member or Guest to another, and is not in any way warranted, provided or monitored by the Collective. Each Member agrees to indemnify and hold the Collective harmless from and against all liability of every kind and nature arising out of food and drink provided by such Member or Member’s Guest to Guests and other Members. Members are solely responsible for loss of and/or damage or theft to their equipment and belongings brought or used at the Collective. ​Member agrees that the Collective is not responsible for any loss and/or damage or theft of belongings that occurs at the Collective. The Collective recommends the the Member obtain insurance that covers their personal property. Member understands and acknowledges that use of the Collective may expose the Member to inherent risks, including accidents, injury, illness, or even death. Member assumes all risk of injuries associated with use of the space. The Member agrees, for himself/herself and any Guests brought to the space or anyone entitled to act on Member’s behalf or direction, to HOLD HARMLESS, WAIVE AND RELEASE the Collective, its officers, agents, employees, members, organizers, representatives, and successors from any responsibility, liabilities, demands, or claims of any kind arising out of use of the space.

Member understands and acknowledges that he/she has read and understand this Waiver of Liability and that Member is aware that this is a waiver and a release of liability and voluntarily agrees to its terms. Acknowledgements The Member acknowledges that this Agreement is not a rental agreement and that it does not confer upon the Member any property interest in the space whatsoever. The Member acknowledges that they have read and understood all of the terms and conditions contained in this Membership Agreement and further agree to be bound to the Membership Agreement regarding participation in and use of the space.
