A. Role and Responsibilities of Advisory Board member(s): 1. Role and responsibilities of an Advisor would be focused on generating executable ideas on Agami branding, finance, operations, donor relations, projects, etc. based on advisor's experience with the goal of taking Agami to the next level of growth. 2. Role would include providing guidance on Initiatives and Practices, sharing best practices from other experiences to make Agami a strong and agile global organization by adopting best practices from his/her experience in Corporate and/or Non-Profit world 3. Advisors could optionally work with the Agami Board/Executive Committee (or a specific Board or Executive Committee member) on a particular topic or agenda. Some examples are cited below: 1. Long-term project such as coming up with a plan to expand the reach of Agami to a wider or different audience such as beyond the circles of nonresident Bangladeshi (NRBs) in North America or elsewhere on the globe. 2. If the individual has expertise, working with roll out plans of Khan Academy videos in measuring effectiveness of videos. 3. If the individual has expertise in finance and audit, can lead efforts leading to a formalized complete audit process for Agami. 4. Partnering with other organizations in North America or Bangladesh who could be complementary to goals of Agami. Advisor(s) may have a network or reach into organizations in Bangladesh which may have nothing to do with education but could be involved for example in providing basic health care or access to clean water. 4. Attending Board meetings at the invitation of the Agami Board. As specified in Agami ByLaws, Advisor would not have any voting privileges on Board resolutions or Board matters. 5. Becoming a paid Agami member, a pre-requisite in becoming an Advisor. 6. An Advisor would be appointed for a one year term by the Board which could be renewed on an annual basis for a maximum continuous tenure of 3 years. B. Desired Profile of an Advisory Board member: 1. Believe in and be passionate about the causes of Agami : providing quality education to underprivileged children especially in Bangladesh. 2. The individual can be a resident of any geographical location in USA, Canada or Bangladesh; he/she does not have to be a resident of the San Francisco Bay area. 3. Proven track record in non-profit or corporate or some other entity and experience in some but not all of the following areas: 1. Formal background in education such as teaching, developing and measuring efficiency of curriculums, development of educational institutions etc. 1. Such background with education in Bangladesh is an added plus. 2. Background in education of underprivileged students in developing or developed countries. Agami Inc. Advisory Board : Guidelines

3. Organizational or Outreach capability in NRB or other ethnic community. 4. Would consider becoming candidates to serve as a member in Agami Executive Committee or a Director of Agami Board at some time in the future; this is not a requirement. C. Desired Outcome 1. Bring diversity to the Agami’s Leadership Team. 2. Consider becoming candidates to serve in Agami’s executive committee or Board of Directors. 3.
