TERMS & CONDITIONS This order form is reflects services and pricing for the year 2017

GENERAL CONDITIONS & REGULATIONS

1. The Salt Palace Convention Center is the exclusive provider of all telephone, Internet and network services (wired and wireless) and Business Center sales within the facility. 2. Purchase and use of the Salt Palace Convention Center services is limited to exclusive use by ordering client, employees and guests. Resale or other unauthorized distribution these services is prohibited. 3. Rates are subject to change. 4. Quantities of some services are limited. Please order early to ensure availability. Orders will be filled on a first come, first served basis. 5. All services will be installed during designated event move-in. Installation will be finalized once the event floor is clear of freight and other obstacles. Services will be disconnected on the last day of the event, thirty minutes after the official closing time. 6. All prices are for rental of materials and equipment. Materials and equipment used in installation remain the property of the Salt Palace Convention Center. 7. Salt Palace Convention Center is not responsible for lost or damaged rental equipment. A replacement fee will be assessed on all equipment that is damaged or not returned. Equipment can be returned to the Security office or the Business Center at any time. 8. Under no circumstances shall anyone other than Salt Palace technicians do any special wiring in the convention center without prior written approval. Telecommunication services ordered by outside providers will be placed in the Facility Services Switch Room (MDF). These services will be extended to desired location by Salt Palace technicians. These services will be assessed co-location fees for service plus wiring and labor. 9. A drawing indicating line placement(s) is required to be submitted with all wired Internet, network, engineering and telephone orders. If we do not receive a drawing, our technicians will drop service in an area of the booth or room that they deem to be most convenient. There is a $75 fee to relocate a line once it has been placed. 10. Rates quoted for all services include bringing the requested communication services to the booth in the most convenient manner and do not include special wiring, over-head drops and/or special set-up or installation of communication equipment. Additional labor charges will be assessed when special services are required.

RATES & PAYMENTS

1. Payment for services must accompany all orders and be paid in full before service is installed. All payments are in US Dollars. 2. The discount rate available until 10 days prior to the first move-in day of the event. Orders must be complete and paid in full by that date in order to qualify. 3. Company checks are to be made payable to Salt Palace Convention Center. No personal checks accepted. 4. A notice to confirm will be emailed within (5) business days of receipt of the order. Copies of all charges will be emailed upon completion. 5. Disputes concerning service must be filed with the Facility Services Department prior to the close of the show. Disputes will be resolved by the Salt Palace in a timely manner. 6. Notification of cancellation must be received, in writing, a minimum of ten days prior to move-in. Cancellation received less than ten days prior, but before installation begins, will be assessed a 20% cancellation fee. 7. Credit will not be given once service has been installed. 8. Any changes to your order after it has been installed will be assessed a minimum charge of $75.00 per line.

EQUIPMENT RENTAL TERMS & CONDITIONS

1. Rental rates are based upon the hours, days or event duration stated therein. Rental charges shall commence when Salt Palace makes equipment available to lessee and end upon return of equipment to the location where it was originally made available to the lessee. No allowance shall be made for Saturdays, Sundays, or holidays or time when equipment is not in use while in lessee’s possession. 2. Lessee shall use the equipment in a careful and proper manner and shall comply with all laws, ordinances, and regulations relating to the possession, use, or maintenance of the equipment. When a limitation on use accompanies the identification and description of particular items of equipment, lessee shall use such items of equipment only for the stated use. 3. Lessee agrees that it will make no alterations in the equipment without obtaining prior written permission from the Salt Palace, SMG, and Salt Lake County. All additions to and improvements of the equipment of any kind shall immediately become the property of Salt Palace, SMG and Salt Lake County and subject to the terms of this lease. 4. On expiration of the rental term for any particular item of equipment, lessee agrees to deliver at its own expense the said items in good condition, ordinary wear and tear resulting from proper use thereof alone excepted, and free and clear of encumbrances, to the location at which it was obtained, or to such other location as Salt Palace may designate that does not increase the cost of delivery. NOTE: Equipment left at an unspecified location after expiration (i.e. anywhere unattended in the building or off Salt Palace property), lessee will be charged for the time to recover equipment, in daily rate increments. 5. Lessee accepts the equipment on an “as is” basis. Lessee acknowledges receipt of all equipment in working condition and declares that lessee fully understands its proper operation and use. Lessee acknowledges that he has examined said equipment and has received the same in a secure and operative condition, or if not, in a condition as noted by both parties herein. 6. Lessee hereby assumes all risks of loss of and damage to the equipment from any cause, and agrees to return it to the Salt Palace in as good of condition as when received, normal wear and tear excepted. No loss of or damage to the equipment shall impair any obligation of lessee under this agreement, and all such obligations shall continue in full force and effect until otherwise discharged. 7. In the event of loss of or damage to the equipment, lessee at the option of the Salt Palace shall: Replace the same in good repair; or Replace the same with like equipment in good repair, which equipment shall thereupon become the property of the Salt Palace, and subject to this lease; or Pay the Salt Palace therefore in cash the market value of the equipment. 8. Liability for injury, disability, and death of workmen and other persons caused by the operation, handling or transportation of the equipment during the rental period shall be assumed by lessee, and lessee shall indemnify Salt Palace, SMG, and Salt Lake County against all such liability.

SHIPPING & RECEIVING

1. The Customer accepts all terms and conditions set forth by the carrier (UPS, FedEx, USPS, etc). 2. The Business Center is not responsible for lost, stolen, mislabeled, or misdirected packages. 3. The Business Center does not accept hazardous material, illegal items, firearms, human remains, fireworks, or articles of unusual value, including but not limited to cash and jewelry for shipment. 4. The Business Center is not liable for carrier’s failure to make timely delivery on delivery date specified. Any statement by Business Center personnel as to probable date of delivery by carrier is a statement of opinion and estimates only, and is not warranted in any manner. The Business Center is not liable for any consequential, incidental, or punitive damages, nor any loss or damage resulting from delays in shipping or delivery. 5. The Customer understands that the carrier’s liability for lost or damaged parcels is limited by the provisions set forth and that declared value coverage will be available only if you have paid the appropriate declared value fees. Customer expressly acknowledges that the value of each parcel does not exceed the amount stated by the customer in the declared value section of this form. If no amount is specified in the declared value section, the customer acknowledges that the value of the parcel shall not exceed $100. 6. If the customer has a claim against the carrier for loss or damage to a parcel, the customer agrees to file the claim through the Salt Palace Business Center (shipper). 7. The customer expressly agrees that the Business Center has no liability if any claim is denied or paid only in part by the carrier. 8. Customer is responsible for all charges, including any charges that may arise in transit such as address changes, account changes and customs and duty fees. 9. Any parcel returned to the Business Center for any reason will be subject to additional shipping charges if the parcel is to be submitted for re-shipment to the customer. Any parcel returned and not submitted for re-shipment within 30 days will be considered abandoned and will be disposed of by the Business Center at their discretion. 10. Customer providing an account number for shipping charges is assumed authorized to use said account. Customer is responsible for all charges due to invalid, incorrect, incomplete account numbers and/or denied charges.

LEGAL USE OF INTERNET SERVICES & LIMITATION OF LIABILITY

1. Any illegal usage of Salt Palace services including transmission, distribution or storage of material or conduct in violation of any applicable local, state, federal or foreign laws or regulations is prohibited. Illegal usage of the Salt Palace Convention Center services will result in immediate termination of service. 2. The Salt Palace Convention Center does not provide an expressed or implied warranty for the equipment and services provided, including no warrant of fitness for particular purpose or merchantability. Part of the agreement with the Salt Palace Convention Center is a limitation of liability so that Client’s sole remedy or recourse against the Salt Palace Convention Center shall be the return of the price that the client paid for services and/or equipment rental, regardless of type, nature or basis for the claim. The Salt Palace Convention Center shall have no liability whatsoever for personal injury, property damage, business loss, business interruption, consequential or punitive damages. 3. Client shall indemnify the Salt Palace Convention Center from third party claims arising from Client’s use of the Salt Palace’s services and equipment.
