MINUTES OF THE WINTERHAVEN UNIT OWNERS ASSOCIATION ANNUAL MEETING –June 19, 2010 Dwayne Porter, president, called the meeting to order at 10:10 AM. It was determined a quorum was present. REPORTS OF OFFICERS/EXECUTIVE BOARD: Dwayne Porter said that, even though it had been a tumultuous year, it had also been a productive year. He commended present and past Board members for spending many hours dealing with Association issues. He stressed the need to move forward for the good of all owners. In the absence of the Board members who were directly involved with items on which the Board was reporting, Laurie Pate was asked to inform the membership about some of the

improvements, repairs, and finances. The members present were very pleased with the new stone sign and were glad to hear of repairs that had been made. A discussion followed concerning leaks in the plumbing and the role played by polybutylene pipes. It was stated that most of the leaks in the last several months were due to shower drains, which is not related to the polybutylene situation. It was decided that an assessment should be done, identifying where the leaks are occurring in order to determine where emphasis should be placed on replacement and prevention. RESTAURANT: It was noted that Brigitte Morgan had done a great job in changing the upstairs lodge area into a family-friendly area. It is unlikely that she will not return, however, since it was difficult to have a profitable business. Several options will be considered for next year, but members present agreed it should remain family-friendly. GAMES: The hot tub was removed and games put in the room; however, the revenue dropped significantly (from over $800 last year to less than $100 this year). New options will be explored for the new skiing season. FINANCIAL REPORT: Two reports were distributed, a Profit and Loss Sheet and a Balance Sheet. Betty White said those reports didn’t really tell us anything. The same reports have been used over the past several years, but David Smith said the Association needs to look into a different form of reporting. ELECTION: The following names were put into nomination: Emily Egerton David Smith Michaux Messer Charles Snell Laurie Pate Nominations were requested from the floor, but none were offered. Betty White made a motion that we elect the Board members by acclamation. The motion was defeated, with 2 votes in favor, and the rest against. Written ballots were distributed, collected, and counted. The five people nominated were declared members of the Executive Board for the 2010-2011 year. UNFINISHED BUSINESS: Management – Dwayne Porter discussed that fact that the Executive Board is made up of volunteers and cannot be expected to carry out the day-to-day needs of the Association, especially since the needs exist 24/7. He reported that the Board put out a notice for a position available and had interviewed three possible candidates via conference call the morning of the meeting. The secretary took notes and will summarize

the interviews for the new Board members. Dwayne said he thinks a managing agent is necessary and that the Association needs to continue its pursuit of hiring one. Maintenance – It was stated that the Association’s By-Laws are confusing. The Board intended to review them and make recommendations for change this past year, but it was not done. This job needs to be done. A discussion followed about who pays, as well as what is considered ‘general common’ and ‘limited common’ property. It was decided that the new Board needs to more clearly define the responsibilities of the Association and of individual owners. NEW BUSINESS: Insurance – It was noted that the Association’s insurance carrier has said the company that supplied our Fidelity Insurance is no longer offering it. They are to let us know when they find another company. Roy Shrewsbury said that, in talking to Chuck Turner with Allegheny Insurance, Chuck told him the Association did not have enough coverage. Dwayne Porter and Laurie Pate said that Mr. Turner, as well as Pam McMillion, met with the Board on a conference call last summer, and were asked for recommendations. They did not mention increasing coverage. However, it was decided that the new Board should revisit the amount of coverage. Road Maintenance – Judy Hoops asked if members thought the Association should look into taking over the maintenance of the road leading to the condos. A discussion followed concerning equipment, manpower, and whether we’re paying for road maintenance or access to the mountain, since the fee is labeled Mountain Access Fee. Susie Norman stated that the houses pay approximately $400 each, which is the same as each individual condo at Winterhaven. The need for a better working relationship with Winterplace was cited. With no further business the meeting was adjourned at 11:35 AM. Laurie Pate presented, on behalf of the Executive Board, a gift certificate to Longhorn Restaurant to Dwayne Porter for his stable leadership during the past tumultuous year.
