Main-Dempster Mile MINUTES: Governance Meeting 10/31/16 Transition from the city governance – $$ disbursement from the city. Association funds cannot be commingled with Non-SSA funds. There is $100 in the account that is currently association $$. We can just pay the association back the $100. Jessica moves that we clarify in clear language to the board that we legally recognize the association VERSUS the SSA (work, money, action). Restricted funds vs. non-restricted funds. Legal terms, branding terms are important. ACTION ITEM: prepare a list of the proper terms for the different uses Mike Mosier(sp?) should advise on whether we need to Open Meetings Act any meetings where we’re not talking about spending tax $$.

$$ Disbursement: What is the status on the disbursement of the city? Credit card has to be tied to a person. Can money be transferred from one account to the other when a payment is due? ACTION ITEM: Need to reach out to Johanna to ask about how the comingling funds works? Can I pay a bill from the association account and then transfer the money from the SSA fund to make that payment out of the association account. Also reach out to Annie Coakley and Moshe Klein and ask about how they/to do it.

Implementation Agreement with the City – The old one allowed us to borrow Cindy Plante’s services and also to borrow the money to front our expenses. Needs to be updated. Vendor agreements are a challenge based on our old implementation agreement? Jessica has reached out to the city to ask how hardcore the restrictions are – is the burden less egregious if it’s below a certain dollar threshold? Need to keep this in mind when we renegotiate. ACTION ITEM: Create a process / set of requirements for any vendors we hire. (Jessica) Jessica is nominated and seconded to help recreate the implementation agreement.

DATA we want at Annual Meeting: All the businesses in the district. Where they are (not just storefronts – 2nd floor attorneys, businesses out of the house). Are we reaching everyone? Who is responding? Creating personas for businesses,

data that will help recruit new businesses. Can we get it from the city? The Chamber of Commerce? Strategy for creating this. We have final mailing list for the SSA. Taxpayers of record Business PINs Mapping done in GIS (geographic information systems) – the city has this, but won’t update/fix what’s out of date. New columns each for things like the following – street poles? Garbage cans? Sidewalk cracks? We need the file from (Jeremy? Kimberly?)

ByLaws: Place Consulting reviewed the bylaws. Next step should be to have Mike Mosier (new attorney) review them too. ACTION ITEM: Engage with an attorney who has 501c6 experience and is reasonably priced and can review this by the November Governance committee meeting so we can present it / vote on it at the December board meeting and update the IRS asap after that We’re using the old Main St Merchants legal vehicle (EIN, etc) as the vehicle for the association, but that all needs to be updated with the IRS and the Bank.

We should talk at the Strategic Planning Meeting about other sources of funding besides SSA funding.

Music for the Annual Meeting: Current situation is up in the air. Do we actually have a financial obligation? Who is going to foot the bill for the financial obligation? Katherine needs to book a band, make sure they have insurance and can play for under $1000.
