Supplemental Terms and Conditions The following Supplemental Terms and Conditions govern the Walla contest (the "Contest") held by Pinshape Inc. ("Pinshape") and the respective rights between Walla (the "Company") and any designer who enters the Contest (the "Designer"). Application of Pinshape Terms and Conditions These Supplemental Terms and Conditions are supplementary to the Pinshape Terms and Conditions, which govern all use of the Pinshape website (the "Website") and all content, services and products available at or through the Website (the "Pinshape Terms and Conditions"). The Pinshape Terms and Conditions are part of these Supplemental Terms and Conditions and are by this reference included herein with the same effect as though set forth in entirety in these Supplemental Terms and Conditions. Where there is a conflict or inconsistency between the Supplemental Terms and Conditions and the Pinshape Terms and Conditions, the Supplemental Terms and Conditions will govern, including, but not limited to, the terms regarding the right, title and interest in the Winning Work (as defined below). Eligibility for Contest In order to enter the Contest, the Designer must register with Pinshape and submit a 3D printing design (the "Work") to the Website. In order to be eligible for entry in the Contest, the Work: • • •

cannot have been previously submitted to Pinshape; must be deemed 3D printable by Pinshape; and must comply with the Pinshape Content and Behaviour Policy, as set out on the Website.

Term and Selection of Winner The Contest shall be open for submissions until 23:59:59 PST on November 23, 2014. The Work that wins the Contest (the "Winning Work") shall be chosen by The Walla Band Royalty for Winning Work The Designer of the Winning Work shall, at his or her option, be entitled to: •

a 15% royalty on the markup of all future sales of the Winning Work by the Company.

Assignment of Rights in Winning Work The Designer of the Winning Work agrees with the Company as follows: •

the Designer shall assign, transfer and make over to the Company (and its successors and assigns) all of the Designer's right, title and interest in said Winning Work including all right to possession and all copyright throughout the world, including, without limitation, the right to file applications for registration of such rights and including assignment and transfer of any accrued cause of actions related thereto; and

the Designer shall, at the expense of the Company but without further consideration, do such things and execute such documents as may be necessary to vest in the name of the Company the copyright and similar rights in the Winning Work and for registration of such rights. The Designer waives any moral rights or similar rights that the Designer may have in or related to said Winning Work, including the right to be associated with the Winning Work as its author by name.

Binding Effect of Terms and Conditions By entering the Contest, the Designer is confirming his or her acknowledgment and understanding of the Pinshape Terms and Conditions and these Supplemental Terms and Conditions and is indicating his or her agreement to be bound by both the Pinshape Terms and Conditions and these Supplemental Terms and Conditions.
