General Information A. Scope of Work – The Scope of Work describes the work and expectation to be addressed in the proposal. B. Contracting Authority and Overview – Malheur County Development Corporation (MCDC) will be the contracting authority. The initial term of this contract shall be negotiated. Full project development is expected to take one to two years. MCDC reserves the right to select parts of proposals for funding without any obligation to fund or support other parts of the proposal. MCDC reserves the right to renegotiate contracts beyond the contract period of this RFP. C. Provider Eligibility – Any public or private organization or individual that demonstrates qualifications is eligible for consideration. Must be fully licensed within the State of Oregon with technical certificates (i.e.; geotechnical, mechanical, public works infrastructure). Formal education, relevant job training, and other criteria, as deemed acceptable by MCDC, may determine provided qualifications. D. General Contract Requirements – The applicant must be willing to enter into a contract with MCDC. Accepted proposals and any negotiated modifications will become part of the contract. Successful applicants will be required to: •

Background Information About Malheur County Development Corporation (MCDC) MCDC is a 501(c)4 non-profit economic development corporation and serves as the project sponsor of the project. MCDC was created by the Malheur County Court (Board of Commissioners) in 2017 after the Oregon State Legislature passed Keep Oregon Moving (House Bill 2017-A). The county court appointed nine individuals to serve as the MCDC Board of Directors. Each member was chosen for their professional background and experience as it relates to the region, sectors of agriculture, business, land use, logistics, finance, and industrial development. Greg Smith serves as a voting member and Officer to the Board. Project Background In 2017, the Oregon State Legislature passed Keep Oregon Moving (House Bill 2017-A) which allocated $26,000,000 for the development of the Treasure Valley Reload Center. Malheur County has been actively researching the development of a reload/intermodal facility since Fall of 2015. MCDC is proposing the development of the Treasure Valley Reload Center (TVRC) in Malheur County, Oregon. The corporation has gone through a robust site selection process and recommends the development of the TVRC be located on industrially zoned property in Nyssa, Oregon. The site is centrally located in the Treasure Valley region which includes Malheur County (OR), Payette County (ID), Washington County (ID), Canyon County (ID), and the northern portion of Owyhee County (ID). The site will offer 350+ acres of industrial land and is strategically located along the Union Pacific Railroad (UPRR) Mainline and near US Hwys 20, 26, 201, and 95. As required by the above-mentioned legislation, MCDC submitted a project pre-proposal describing the organizational structure and conceptual project plan. The Oregon Department of Transportation (ODOT) and Oregon Business Development Department (Business Oregon) reviewed and approved the pre-proposal with no conditions. With this approval, ODOT will be entering into an agreement with MCDC to release 5% of the total funding for the development of a full project plan. The plan will then be submitted back to ODOT for approval. Upon approval, the remaining funding will be released. Project Goals The TVRC’s goal is to serve a centralized location to move the commodities of local agricultural industries to both international and domestic markets.

Proposal Submission Information Submission Requirements and Format Proposals must be typed legibly. The proposal should not exceed twenty (20) pages, including cover sheet and attachments. One page is defined as: one side of a single 8.5 x 11 page with 11-point minimum font size for substantive text. Each topic must be addressed in the order listed below in a complete and clear way. Topics that must be addressed: 1. Introduction – An overview of your company. 2. Qualifications - Personal qualifications and resumes for each individual involved. 3. Reporting and Accountability – Include a recommendation of what and how to report the work accomplished, effectiveness, outcomes, and data. The engineer with be reporting to the MCDC Officer to the Board. 4. Budget – Submit a complete budget proposal for the following: (1) Budget to include all pre-construction items within the Scope of Work. (2) Full project budget to include all pre-construction and construction work within the Scope of Work. 5. Services – How work will be delivered to accomplish all elements of the Scope of Work. 6. Proof of Oregon engineering license. 7. References – Include three references from previous or current clients or employers. Submission Instructions 1. All proposals must be submitted electronically to
[email protected]. 2. Proposals must be received by 5:00 pm (MST)/4:00 pm (PST) on Friday, March 16, 2018, to be eligible for consideration. There will be no exceptions; time is of the essence.

Scoring Criteria A total of 100 points is available for the scored criteria. See Appendix A for sample score sheet. 1. Method of Approach – Provide a clear and concise understanding of this project, proposed approach to completing the project, and proposed benchmarks and timeline for project completion. (25 points) 2. Professional Qualifications of Project Team – Provide a firm overview and qualifications for providing the requested professional services. List key team members who will be assigned to this project, their roles and responsibilities, and their qualifications and experience. (20 points) 3. Experience – Provide examples of at least three (3) similar projects that best characterize the firm’s experience with completing similar projects. (25 points) 4. Locational and Familiarity with the Study Area – Provide a description of the key staff’s knowledge and experience performing working the area. Describe your staff’s ability to attend meetings with potential stakeholders and to work efficiently in the project vicinity. Also, include your team’s past performance history in the area. (20 points) 5. References – Include three references from clients. (10 points) Submission Process 1. MCDC will review all submitted proposals submitted by the above-mentioned deadline. Any proposal found to be out of compliance with the instructions in this packet will be deemed non-responsive and rejected. 2. The Officer of the Board will provide a preliminary review of each proposal and rank them according to the below criteria. The Officer of the Board will then provide the rankings, proposals, and recommendation to the MCDC Board. The MCDC Board will then review materials and make any changes as deemed necessary upon review. 3. Contract negotiations with the highest ranked proposer shall be directed toward obtaining written agreement on the proposer’s tasks and a performance schedule

as well as fair and reasonable contract terms consistent with the proposer’s proposal. 4. Negotiations with the highest ranked proposer may be formally terminated if they fail to result in a contract within a reasonable amount of time. Negotiations will then ensue with the second-ranked proposer and, if necessary, third-ranked proposed, and so on, until the negotiations result in a contract. If the subsequent round negotiations fail to result in a contract within a reasonable amount of time, the solicitation may be formally terminated. Additional Submission Information 1. Malheur County Development Corporation (MCDC) reserves the right to reject any and all proposals upon finding that it is in the corporation’s best interests to do so. Any proposal found to be out of compliance with the instructions in this packet will be deemed non-responsive and rejected. 2. Malheur County Development Corporation (MCDC) reserved the right to exercise its options or negotiations with proposers in the development of final award(s) and contract(s), and to waive any irregularities or informalities. 3. Public Records - Information provided in a proposal will, to the extent allowed by law, will be confidential and will not be revealed or discussed with competitors. 4. This RFP does not obligate MCDC to award a contract, to pay the costs incurred in preparing any proposal, or to procure the services described herein. All proposals are submitted at the sole cost and expense of the proposer. MCDC shall incur no liability or obligation to any proposer except pursuant to a written contract of services, duly executed by the proposed and an authorized signatory from MCDC.

Scope of Work Essential Job Functions Outlined below is a brief summary of the Scope of Work that is expected. The work presented below is generally in the order it is anticipated to occur. 1. Surveying and Mapping – Complete a detailed topographic design survey and base map of the entire site and surrounding area, as needed for utility extensions. 2. Due Diligence Clearances – Complete sufficient enough environmental related work to ensure cultural resources, wetlands, etc., are not of concern. 3. Geotechnical Analysis – Complete explorations of geotechnical analysis to facilitate foundation design, road base designs, etc. 4. Preliminary Engineering - Work with all required stakeholders to develop alternatives resulting in an agreed upon site layout. 5. Design Engineering (Civil/Structures) – Complete design engineering of all civil items, specifically the roads, utilities, water, sewer, rail, drainage, etc., including coordination of utility providers. Complete design of the structures, receiving platforms, etc. 6. Land Use Approval – With the conceptual site layout, secure required land use approvals. 7. Partitioning/Lot Line Adjustments – Complete any land partitioning of the parcel, lot line adjustments, etc., as may be necessary. 8. Permitting – Complete permits, which are anticipated to include county access permits, conditional use permits, land use compatibility statements, 1200-C stormwater permits for construction, etc. 9. Road/Pedestrian Improvements - Work with required stakeholders to design engineering of rail spurs and construction. 10. Rail Development – Work with required stakeholders to design engineering of rail spurs and construction.
