BOARD MEETING AUDIO ON-LINE CONFERENCE, MAY 8, 2013 Minutes by: Darla Johnston, Vice President-Acting Secretary The meeting began at 7 PM and ended at 8:30 PM with Keith Frederickson, President; Darla Johnston, Vice President; Lisa Brown, Treasurer, Sally Stillman, Acting Web Master. . The purpose of this meeting is to follow up on information that we have gleamed over the past week. May 2, Keith requested keys for properties on UCC Park properties so we can would walk thru with contractors to receive their recommendations of things that need to be addressed with the various buildings. Keith also asked Scott Pineo via email for costs for several years of renting the house, post office, and community center as there was no expenses listed with the information that Scott sent UCC Board on their cost of maintaining the buildings. Also Keith asked Scott in email for exact coverage and dollar amount of coverage that Skamania County carries on the Underwood Building, grounds, etc. On May 2-4 Keith, and Sally from May 2 through May 7, and Lisa all checked with Insurance carriers to find out the cost of insurance. While useful information was obtained, we really need the information from Scott to know what is the current amount of liability insurance, etc, that Skamania County is carrying. Lisa did get event insurance information: http://www.eventinsurancenow.com/index.cfm?fuseaction=cContent.create . Many days and hours were spent primarily by Keith and Sally on the insurance issue, which will be useful when we get the information back from Scott. Then we found out that Keith was able to schedule a meeting with Bob Anderson, Skamania County Commissioner, for May 9, 2013 at 4 PM with the Underwood Community Board; so the focus became to use this meeting to prepare the tweaking of our proposed budget to present to Bob Anderson with the information that we gathered this past week. It is our desire to discern whether or not the County Commissioners, Scott Pineo, Director of Skamania Parks and Recreation, can come to a consensus in regards to the following so we can present the findings to the community: 1. The financial support that the Underwood Board can expect if the Underwood Community takes over the daily operations of the Underwood Park with all the amenities therein. Funds to get us operational: A. Cash flow B. Slush fund C. Capital investment- County provides money for agreed upon improvements and UCC manages the work. i. Insurance impacts 2. A. What is the County’s Capital Expense Budget for the next 5 years. B. What’s in your 5-year over-all estimated budget? 3. Based upon the three builders’ recommendations for improvements to the Community Center, the Post Office-the old Firemen’s Station, the rental house, horse arena, basketball and tennis courts, and soccer & baseball field, can Bob Anderson as a spokes person for the Board let us know an indication of what their intention might be in regards to the repairs. We shall discuss our “Improvements Identified on the Underwood Community Properties – Building Evaluation by Local Contractors” where we will prioritize the improvement as to urgency from 1 (needs to be done immediately) to 5 (done within 5 years); 2 (do within 1 year); 3 (do within 2 years); 4 (do within 3-4 years). There are several critical water damage areas that need to be repaired and several other things that need to been taken care of immediately on the

building, horse coral, (and swings). (Keith has asked Scott Pineo for a schedule of proposed repairs that Skamania County has, a copy of their time-line for these projections a couple of times since the beginning of April and are waiting to receive this documentation.) Bob and Scott need to know that we have gotten this list, what’s on it, and it’s a serious list and they have to cover the gap holes. Even if we are going to cover these issues, we don’t have money; they are going to have to give us money. They have the money from our taxes and they need to cover the capitals. 4. What insurance is Skamania County carrying on the Underwood Community Center and all the buildings? If Underwood Community takes over daily operations of all amenities in the Park, will the County continue to carry the insurance? 5. We would like to see the Community Center’s rentals for 2013 to present and the amount of money generated from the rentals. 6. We would like to see the Community Center’s rentals for 2013 to present and the amount of money generated from the rentals. 7. Status of rental house repairs and rental records 8. Maintenance cost for the rental house 9. Alternatives for properties if UCC doesn’t assume daily operations. A. What happens to the property if County and UCC can’t agree? Discussion about how to disseminate information to more of the community occurred. Our quotes for additional liability insurance that would be needed ranged from $2,000 to $6,500 because we have not received the information from the County on their current coverage. The cost is based upon our current status of: Information for dissemination, 8 meetings/yr, annual picnic, no cars, no covering us in cars for coming or going. Also if we have an event, it may be cheaper to add event insurance for $150 to $200/event than increase. McCoy & Holliston has an event insurance brochure. We have noticed that the UCC has a heavier event usage than Scott’s numbers for 2012. It would be nice to get its 2013 usage from the Scott so we can see if it is from Underwood residents that can rent it for less or from out of community usage which would bring in higher amount of money. If we receive $15,000 from the County, we are losing $10,000/year. Let’s use leverage of a higher payment for lst year and less for each following year: $25,000 (lst yr.), then $20,000 (2nd yr), then $15K 3rd year as we should be able to increase our revenue of the Community Center (and by renting out the Old Fire Station). We need ½ time manager not a ¼ time person; a half-time manager will cost $15,600/year. There may be some grants that we can apply for, but this does not help us now because we do not know if we will secure any. With the Co giving us $25K we end up with + $550 and end of the year. . We have no money for legal expenses. Let’s check with a local Attorney and ask her if she would be a gift honorarium; she might like to be an Advisory to the Board. We can use Turbo Taxes for a 501(c)3. We wanted to get together with Bob because we have all been putting in a lot of time, but have had no feed back from the County as to what their plans are for an agreement between us and the County. We don’t know what their arterial plan is; and we don’t want to loss the park for public use thru a private sale.

Let’s set up a group of questions that we want to ask. We need cash to get us up and functioning for the year. You don’t try it for a year without funds. That’s a lot of work. What is alternative if we don’t come to an agreement with the County for the park? People are dissatisfied with County because monies are not be allocated for this end of the County. It’s probably because they do not have any money. The Park was acquired in 1997 by County from WS school district. Timber funds run out 20 yrs ago with spotted owl and they have shut down timber money in the forest and the County has slowly been starving to death with the rural schools and other programs. Since the Federal Government has determined that people are not important in the financial sense anymore, they have reached a point that they (the Federal Government) are not giving us any money (for the loss of our timber revenue) (nor let us start logging again to bring in revenue). The County knew that they would not be compensated for loss of the timber monies forever and had started preparing for the eventual loss of compensation Federal monies. Skamania County is in better condition than other counties in Wasington; however, that is not anything to brag about. Something that is really important is having committees on our Board with an expertise of a person that is needed (contractor) along with 1 board member serving on a sub-committee of their choice with 3 or 4 community members making of a sub-committee of 5 or so people; you build that committee on the skills that you need and each person on the community would have 1 equal vote. The community should know that these committees would not be forever, but we are going to need to expand our board to make this happen. Because 3-4 little people on the Board will not be able to do this (daily operations of the Park and Buildings) without additional people to help the board. The people of the board and Sally Stillman as acting Web Master and acting board member cannot sustain all of this even with 4 or 5 people. We need to simulate this information to the community. We need to get our next meeting notice out to the community; let’s move it back a week and make it May 23, 2013 at 6:30. We can have more of our Board member present on the 23rd . This will give us more time to prepare and the County more time to get us the information that we requested. It might be helpful to have a survey with a pencil that they fill out before they leave, or sign up for something, and that they walk out with a paper which has the main points that we are talking about as an attachment . Another way to interact with the community and find out their thoughts and wishes is to schedule a day and time for meeting at the picnic tables with each person bringing their picnic basket. Then you chat and we get to another level of information Because there will be people that are not at the meeting; we need somehow to get the information out to them. How are we going to do it? Going door to door? (Bring information for people at the meeting to pass on to their neighbors and friends with a web address that they could respond to? Putting a box hanging from the outside bulletin board by the Post Office with information that anyone can pick up and take home to read and hopefully discuss with us.) We could use computers on the picnic tables if we had a WiFi connection. See if Gorge.net will donate WiFi (satellite) for a year to UC Gardens and Community Center because we are nonprofit. We can all wear a button that says: “Gorge Net supports UCC.” ( If they donate a satellite dish for WiFi). Our meeting tomorrow with Bob Anderson, Skamania Commissioner, hopefully will give us a sense of the County’s plans concerning their plans. Keith Let’s adjorn our meeting.
